TIME PERIOD AGREEMENT

Parties

This Time Period Agreement (the Agreement) is entered into effective as of (Effective Date) by and between:

Recitals

WHEREAS, the Service Provider is engaged in the business of providing the services described in this Agreement; and

WHEREAS, the Client desires to retain the Service Provider to perform such services for a defined time period on the terms set forth herein; and

WHEREAS, the parties wish to set forth the time period, scope, and payment terms applicable to the services to avoid uncertainty and to allocate risks appropriately.

Scope of Work

The Service Provider shall provide the services described below (Services). The Services shall be performed in accordance with the schedule and requirements set forth in this Agreement and any attachments incorporated by reference.

Payment Terms

In consideration of the Services, the Client shall pay the Service Provider the amounts and on the schedule set forth below.

Term and Termination

The term of this Agreement (Term) shall commence on and shall expire on unless terminated earlier in accordance with this Agreement.

Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice specifying the breach. Termination shall be without prejudice to any rights or remedies that have accrued prior to termination.

Confidentiality

Each party acknowledges that it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but not less than reasonable care; (b) use Confidential Information only to perform its obligations or exercise its rights under this Agreement; and (c) not disclose Confidential Information to third parties except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The obligations in this Confidentiality section survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they meet the legal definition of a trade secret.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may specify in writing).

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to conflict of laws principles.

Miscellaneous

Assignment: Neither party may assign or transfer this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that a party may assign this Agreement without consent to a successor by merger, acquisition, or sale of substantially all of its assets.

Amendment: No amendment or modification of this Agreement is effective unless in writing and signed by both parties.

Entire Agreement

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
