RECITALS

WHEREAS, the Client engages the Contractor to perform certain services and to record accurate hours worked for billing and project management purposes effective as of ;

WHEREAS, the Contractor agrees to maintain contemporaneous, accurate time records specifying dates, start and end times, breaks and total hours for each workday and to submit such records in the form set forth in this Time Tracking Hours Record for review and payment;

SCOPE OF WORK

Describe the services or deliverables to which the recorded hours will apply. This Scope of Work forms a part of the parties' agreement and shall be interpreted in conjunction with recorded time and the payment terms below.

Invoicing Procedure: Contractor shall submit an invoice accompanied by this Time Tracking Hours Record and any required backup. Payment is due within days of Client's receipt of a properly submitted invoice. Client shall not unreasonably withhold approval.

Late Payment: Past due amounts shall accrue interest at the lesser of (a) % per month, or (b) the maximum rate permitted by applicable law, together with the cost of collection including reasonable attorneys' fees.

TERM AND TERMINATION

Term Commencement: This record and the underlying engagement commence on and, unless earlier terminated in accordance with this section, shall continue through .

Termination: Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach if such breach is not cured within a reasonable cure period after written notice. Upon termination Contractor shall deliver all time records and invoices for work performed through the effective date of termination and Client shall pay for all undisputed services rendered.

CONFIDENTIALITY

Each party shall treat as confidential all non-public business, technical and financial information disclosed in connection with the engagement, including but not limited to time records, rates, project codes and deliverables. Confidential information shall not be disclosed except to employees or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein, or as required by law. Confidential obligations survive for a period of two years following termination of the engagement.

GOVERNING LAW

This Time Tracking Hours Record and any dispute arising out of or related to it shall be governed by the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, together with any referenced scope of work and invoices, constitutes the entire agreement between the parties with respect to time tracking, payment and the related services and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the same subject matter. CERTIFICATION
