Tipper Agreement

This Tipper Agreement ("Agreement") is entered into as of by and between Client Name: and Tipper Name: .

WHEREAS

WHEREAS, Client desires to receive introductions, leads, or informational tips concerning potential business opportunities and related information; and

WHEREAS, Tipper represents that Tipper has access to, or will generate, such tips or introductions and is willing to provide them to Client on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other commercial terms applicable to the provision of such tips.

Scope of Work

Tipper shall provide to Client the services described below (the "Services"). Tipper will use commercially reasonable efforts to present accurate, timely and complete information as part of each tip. Client acknowledges that results and opportunities described by Tipper are estimates and prospective in nature.

Payment Terms

In consideration for the Services, Client shall pay Tipper the fees set forth below in accordance with this Agreement.

All payments due under this Agreement shall be paid in lawful currency of the United States. Client is responsible for any applicable taxes, withholding or other governmental charges, unless a party provides an appropriate exemption certificate.

Term and Termination

The term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Either party may terminate for convenience upon the notice period. Termination does not relieve Client of the obligation to pay for Services provided prior to termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party"), whether written, oral or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information includes, without limitation, business plans, customer lists, pricing, financial information and details of tips and introductions.

Receiving Party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not use Confidential Information for any purpose other than performing under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of this Agreement by Receiving Party; (ii) was known to Receiving Party prior to disclosure; (iii) is independently developed by Receiving Party without use of Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided Receiving Party provides prompt notice to Disclosing Party and cooperates in any lawful effort to limit such disclosure.

Representations, Indemnity and Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Tipper represents that, to the best of Tipper's knowledge, any information furnished is not stolen or subject to undisclosed third-party rights. Client acknowledges that Tipper does not guarantee outcome or results from introductions.

Each party shall indemnify and hold the other harmless from and against any third-party claims arising from that party's gross negligence, willful misconduct or material breach of this Agreement. Except for indemnification for gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement and Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.
