What a Tire Sales Agreement Covers

A Tire Sales Agreement is a written contract that sets the terms for the sale and delivery of tires between a seller and a buyer. It typically documents the parties, specific tire descriptions (size, brand, model), quantity, unit price, payment terms, delivery schedule, inspection and acceptance criteria, warranties, and allocation of risk for loss or damage in transit. The agreement clarifies when title and risk transfer, any return or restocking policies, and remedies for breach. Well-drafted agreements reduce disputes, support accounting and tax treatment, and provide enforcement evidence if litigation arises.

Why use a formal Tire Sales Agreement

A clear written agreement reduces commercial uncertainty by fixing price, delivery obligations, inspection rights, and warranty limits between tire sellers and buyers.

Common mistakes to avoid when preparing the agreement

  • Vague product descriptions that lack SKU, DOT code, or load rating often lead to delivery rejections and disputes.
  • Failing to define delivery terms (who pays freight, who bears risk in transit) can shift unexpected costs after shipment.
  • Not specifying inspection timelines or acceptance criteria lets buyers delay acceptance and creates inventory reconciliation issues.
  • Using indefinite payment terms or omitting currency and tax treatment can cause billing delays and exposure to exchange-rate problems.

Risks and potential consequences of errors

Billing Disputes: Delayed payment
Warranty Voids: Unclear warranty terms
Delivery Loss: Risk allocation errors
Tax Exposure: Incorrect reporting
Legal Costs: Enforcement expenses
Operational Delay: Inventory shortages

How organizations typically use a Tire Sales Agreement

Real-world examples show how different buyers and sellers adapt the agreement to fit operations and risk tolerance.

Case Study 1

A regional fleet buyer standardized a template to consolidate orders across 50 vehicles and ensure consistent warranty coverage.

  • They included SKU and DOT codes to avoid returns.
  • As a result, the procurement team reduced disputes and improved invoice reconciliation by matching deliveries to contract line items, simplifying warranty claims and accounting.

Case Study 2

A tire wholesaler used a contract with staged payments tied to delivery milestones to protect cash flow.

  • The contract specified inspection windows on receipt.
  • This structure reduced chargebacks and clarified responsibility for freight damage, enabling the wholesaler to recover costs from carriers or obtain replacements from manufacturers faster.
