TIRE SERVICE AGREEMENT

This Tire Service Agreement (the "Agreement") is entered into by and between Service Provider: and Client Name: . The parties agree as follows.

WHEREAS

WHEREAS, Service Provider operates a business providing tire-related services including mounting, balancing, repair, replacement, and disposal of tires; and

WHEREAS, Client desires to engage Service Provider to perform tire services on the vehicle identified below under the terms set forth in this Agreement; and

WHEREAS, the parties intend this Agreement to set forth the scope, payment terms, warranties, and allocation of risk for the tire services to be performed.

VEHICLE INFORMATION

SCOPE OF WORK

Service Provider shall perform the tire services described below on the Client's vehicle. The description below shall include specific services, quantities, and any parts to be supplied.

PAYMENT TERMS

Client agrees to pay Service Provider the sums set forth below for parts and labor in full, in accordance with the payment schedule. All fees are exclusive of applicable taxes unless otherwise indicated.

Service Provider may suspend performance or retain possession of the vehicle until all undisputed amounts due are paid in full. Client is responsible for all costs of collection, including reasonable attorneys' fees, for unpaid balances.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination shall not relieve Client of its obligation to pay for services performed or parts supplied prior to termination.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any non-public business or technical information of the other party disclosed in connection with this Agreement, except to the extent (i) necessary for performance of this Agreement, (ii) required by law or court order, or (iii) already in the public domain through no breach of this Agreement. Confidential information shall be used solely for the purposes of performing obligations under this Agreement.

WARRANTIES; LIMITATION OF LIABILITY

Service Provider warrants that labor performed will be performed in a workmanlike manner for a period of 30 days from completion. Replacement tires and parts shall carry only the manufacturer’s warranty, if any; Service Provider makes no independent warranty as to parts. EXCEPT FOR THE LIMITED LABOR WARRANTY SET FORTH ABOVE, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. SERVICE PROVIDER'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT.

INDEMNIFICATION

Client shall indemnify, defend, and hold Service Provider harmless from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Client's negligence, willful misconduct, or breach of this Agreement, including claims related to vehicle misuse or failure to follow recommended maintenance.

INSPECTION AND ACCEPTANCE

Upon completion of the services, Client shall inspect the vehicle and the performed services. Unless Client provides written notice of non-conformity within 48 hours of completion, the services shall be deemed accepted. Any claim for repair or adjustment arising from inspection must be made promptly and in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings, and communications, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect. Notices under this Agreement must be in writing and delivered to the addresses provided by the parties.
