The Title Company hereby commits to issue a title insurance policy subject to the exceptions and fulfillment of the requirements set forth below. This Commitment does not constitute an obligation to issue until all requirements are satisfied, all fees and charges payable to the Company are received, and all documents necessary for closing are presented and acceptable to the Company.

Standard printed exceptions, survey matters, and matters created by applicant or their agents which are not disclosed to or approved by the Company shall be listed as exceptions and must be cleared or insured over prior to policy issuance.

Default, Remedy, and Liability

The Title Company’s liability under this Commitment is limited to the obligation to issue the title insurance policy described, subject to the payment of premiums and satisfaction of the stated requirements and exceptions. If the Company fails to comply with this Commitment, Applicant's exclusive remedy shall be limited to the amount of the title insurance premium paid for the policy. The Company shall not be liable for special, consequential, or punitive damages.

If Applicant fails to satisfy the requirements in a timely manner, the Company may withdraw the Commitment by written notice and shall be relieved of any further obligation hereunder.

Indemnity; Escrow Holdback

Applicant agrees to indemnify and hold the Title Company harmless from claims, losses or liabilities arising out of Applicant-provided documents or failures to disclose material matters affecting title, except to the extent caused by the Company’s gross negligence or willful misconduct.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state where the Property is located. This Commitment, together with any referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

By signing below, Applicant acknowledges receipt of this Title Commitment Agreement and accepts the terms, requirements and exceptions herein. Applicant authorizes the Title Company to proceed with the commitments and to act as escrow agent if so instructed in writing and upon receipt of applicable fees.
