The Provider shall perform a reasonably diligent title search of public records identified in the Search Parameters and prepare the selected Deliverables. The search shall include examination of recorded instruments affecting title, liens, encumbrances, and relevant indices for the Search Period, and shall identify exceptions and matters affecting marketable title to the Property.

Either party may terminate this Request for cause upon written notice to the other party if the other party materially breaches its obligations and fails to cure within days after receipt of written notice. Provider shall maintain confidentiality of non‑public information obtained from the Requester and shall not disclose such information except as required by law, to perform the services, or as otherwise authorized in writing by the Requester. Limitation of Liability

Except to the extent caused by Provider's gross negligence or willful misconduct, Provider's liability arising out of or in connection with this Request shall in no event exceed the fees paid by the Requester for the specific services at issue. In no event shall Provider be liable for special, indirect, incidental, or consequential damages.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

Entire Agreement

This Title Search Request, including the Scope of Work and payment terms set forth herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements, whether written or oral.
