What a Title Services Contract Covers

A Title Services Contract is a written agreement that defines the scope, responsibilities, and fees for title-related work during a real estate transaction. Typical services include title searches, preparation of a title commitment, escrow or closing coordination, recording of instruments, lien clearance, and placement of title insurance. The contract allocates responsibilities between the title company, seller, buyer, lender, and any closing agent, and it sets timing, payment terms, and conditions for delivery of final closing documents.

Why a Clear Contract Matters for Closings

A precise Title Services Contract reduces closing delays, clarifies liability for title defects, and documents the services that support recording and insurance issuance.

Why a Clear Contract Matters for Closings

Who typically completes a Title Services Contract

Common participants prepare or sign the contract to confirm duties and payment responsibility before closing.

  • Title companies and settlement agents — set the scope, escrow handling, and recording responsibilities for closings and post-closing tasks.
  • Lenders and mortgage servicers — require lender-specific endorsements, payoff instructions, and proof of insurance before funding.
  • Buyers and sellers — acknowledge fees, closing date, required documents, and deliverables to avoid post-closing disputes.

Clear delegation in the contract helps prevent recording delays, insurance exceptions, and funding holdbacks.

Key roles who sign or manage the contract

Title Officer

Title Officers manage the title search, resolve exceptions, and prepare the title commitment and closing package. They coordinate with lenders and attorneys to clear defects and ensure the title insurer will issue the required policy at closing.

Closing Attorney

A Closing Attorney or settlement agent reviews contract terms, drafts settlement statements, ensures legal compliance with recording statutes, and often holds escrow funds pending proper execution and recording of instruments.

Core components to include in the contract

A professional Title Services Contract should list services, delivery milestones, payment terms, liability limits, required documents, and dispute resolution provisions to reduce ambiguity at closing.

Title Search

Describe the scope and depth of the search (chain of title period, off-record search, lien checks) and indicate who pays for curative work or additional searches discovered during underwriting.

Title Commitment

Specify timing for delivery of the title commitment, required endorsements, and how exceptions will be disclosed and addressed before closing to permit funding and policy issuance.

Escrow and Closing

Define escrow agent duties, disbursement conditions, wire instructions verification, required closing documents, and procedures for funds handling and shortfalls.

Title Insurance

State the insurer, policy types (owner/lender), coverage limits, premium responsibility, and when the policy will be delivered to the insured parties.

Recording and Delivery

List which party is responsible for recording, associated fees, jurisdictional recording requirements, and timelines for returning recorded documents to clients.

Liability & Indemnity

Clarify limits of liability, indemnity obligations for errors or omissions, dispute resolution process, and any required insurance or bonding for the title provider.

Full Legal Name: Exact name on ID
Property Address: Street, city, state, ZIP
Legal Description: Metes and bounds or plat

Common timing and deadline expectations

Title services involve several time-sensitive steps tied to recording, funding, and insurance issuance.

Title commitment delivery:

Typically 3–10 business days after order

Clearance of exceptions:

Depends on defect complexity; often 1–3 weeks

Recording window:

Record immediately at or after funding

Policy issuance:

Issued upon receipt of recorded documents

Tax/1099 reporting:

Follow IRS deadlines for 1099 filing if required

Key milestones in the title services lifecycle

Track these sequential milestones to coordinate title clearance and closing funds.

01

Order Receipt

Title search begins and preliminary matters are identified.

02

Commitment Issued

Title commitment lists exceptions and required curative actions.

03

Closing Date

Execution of documents, funding, and recording typically occur.

04

Post-Closing

Recorded documents returned and final title policies delivered.

Common mistakes to avoid when preparing the contract

  • Using informal or ambiguous legal descriptions instead of the official deed description causes recording errors and indexing problems.
  • Failing to specify who pays for curative actions or endorsements can lead to last-minute funding disputes at closing.
  • Not verifying signer authority for corporate parties (missing corporate resolutions) can invalidate signatures or delay policy issuance.
  • Skipping notarization or witness steps required by local recording rules may prevent recordation and block funding.

Risks and consequences of an incorrect or incomplete contract

Recording Delay: Funding holdback risk
Policy Exceptions: Coverage limitations arise
Liability Exposure: Claims for errors possible
Funding Denial: Lender may refuse to fund
Contract Dispute: Costly litigation risk
Tax Penalties: Late or incorrect reporting fines
