What the Torres Business Template Is and when to use it

The Torres Business Template is a standardized U.S.-focused business agreement designed to document the commercial relationship between two or more parties, covering scope of work, payment terms, duration, and responsibilities. It serves as a reusable master document that can be adapted for services, vendor engagements, or project-based work by filling the required fields and attaching any applicable exhibits. The template is written to support electronic execution under U.S. e-signature law (ESIGN and state UETA statutes) while allowing conventional notarization or remote online notarization where a notarized acknowledgement is required.

Why the Torres Business Template matters for consistent contracting

Using this template reduces ambiguity in terms, speeds negotiation by reusing standard clauses, and helps ensure the agreement includes essential commercial and legal elements that courts and counterparties expect.

Why the Torres Business Template matters for consistent contracting

Typical users and signers of the Torres Business Template

Teams and individuals who rely on repeatable service agreements often use this template to streamline approvals and reduce drafting time.

  • Small business owners who need a clear scope, pricing, and payment schedule without custom contracting.
  • Procurement and operations teams managing vendor onboarding and recurring service renewals.
  • Freelancers and consultants who require a professional statement of work with payment protections.

The template supports multiple signer roles and can be adapted for simple one-off engagements or multi-party, multi-stage projects.

Core sections to include in a professional Torres Business Template

A complete template balances commercial clarity with enforceable legal language; the six elements below are central for most U.S. commercial agreements and should be present and tailored rather than left generic.

Parties & Recitals

Identify each contracting entity with full legal name, organizational type, and state of formation; recitals briefly state the transaction background and purpose.

Scope of Work

Describe deliverables, milestones, and acceptance criteria with measurable standards and any attached exhibits such as statements of work or schedules.

Payment Terms

State currency, invoicing intervals, net payment terms, late fees, and whether withholding or backup withholding applies under U.S. tax rules.

Term & Termination

Specify effective date, contract length, renewal conditions, termination for convenience and cause, and post-termination transition obligations.

Confidentiality & IP

Define confidential information, permitted uses, IP ownership or assignment, and any license grants or restrictions relevant to deliverables.

Signature Block

Provide full-name, title, signature line, and date for each signing party; include notarization or witness lines only if required by law or recording needs.
