TOUR SERVICES AGREEMENT

This Tour Services Agreement ("Agreement") is entered into as of by and between Provider: , whose principal business address is , and Client: , whose address is .

RECITALS

WHEREAS, Provider is in the business of organizing, guiding and operating tours, including the provision of trained guides, equipment procurement, logistical coordination and related services; and

WHEREAS, Client wishes to engage Provider to perform the services described in this Agreement for the tour identified below under the terms and conditions set forth herein.

WHEREAS, the parties desire to set forth their respective rights and obligations in a written agreement.

SCOPE OF WORK

Provider shall furnish the services and deliverables described in this Section for the tour (the "Services"). The Services shall include, without limitation, guided touring, itinerary coordination, transportation coordination, arranged meals as specified, necessary on-site staff, and any equipment expressly listed below.

PAYMENT TERMS

Client shall pay Provider the amounts and according to the schedule set forth below. All sums are payable in U.S. currency unless otherwise agreed in writing.

A late fee of per month (or the maximum permitted by law, if lower) will be assessed on overdue balances, plus a minimum administrative fee of .

TERM AND TERMINATION

This Agreement commences on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate for material breach if the breach is not cured within ten (10) days after written notice.

If Client cancels the tour less than the cancellation period set forth herein, cancellation fees shall apply as described in the Cancellation section below.

CANCELLATION AND FORCE MAJEURE

Client may cancel with full refund of the deposit if cancellation is received more than days prior to the first tour date. Cancellations received within days will incur a cancellation fee equal to of the Total Fee, and cancellations within days are non-refundable.

Provider shall not be liable for failure to perform due to events beyond its reasonable control, including acts of God, acts of governmental authority, pandemics, weather, strikes, or supplier failures ("Force Majeure"). In the event of Force Majeure, the parties shall use commercially reasonable efforts to reschedule the affected Services.

INSURANCE, LIABILITY, AND INDEMNIFICATION

Provider shall maintain general liability insurance appropriate for the services provided. Client is advised to maintain personal or travel insurance covering cancellation, medical expenses, and personal property. Except for willful misconduct or gross negligence, Provider's aggregate liability for any claim arising under this Agreement shall not exceed the Total Fee paid by Client for the applicable tour.

Client shall indemnify, defend and hold harmless Provider and its officers, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable attorney's fees) arising out of Client's negligence, willful misconduct, or failure to comply with applicable laws or permit requirements.

PERMITS, COMPLIANCE AND HEALTH & SAFETY

Client shall ensure that all participants comply with applicable laws, venue rules and any safety requirements. Client is responsible for securing any permits or permissions required specifically for the Client's group unless Provider has expressly agreed in writing to obtain such permits.

CONFIDENTIALITY

Each party will keep confidential and not disclose to third parties any non-public business information or trade secrets disclosed by the other party in connection with the Services, except as required by law. Confidential information does not include information that (i) is or becomes public other than by breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses provided above and will be deemed given upon personal delivery, one business day after delivery by overnight courier, or three business days after deposit in the U.S. mail, certified or registered.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any claim or dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that State, and the parties hereby submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties and supersedes all prior discussions and agreements. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Provider is an independent contractor and nothing in this Agreement creates an employment, joint venture or agency relationship. Client shall not assign its rights or delegate its duties under this Agreement without Provider's prior written consent. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Provider is engaged as an independent contractor and is responsible for all taxes and insurance related to its personnel.
