TOWNHALL MEETING AGENDA AGREEMENT

Recitals

WHEREAS, Organizer intends to conduct a Townhall Meeting for stakeholders, staff, and members of the public for the purpose of information sharing and community engagement; and

WHEREAS, Consultant represents that Consultant has expertise in preparing, organizing, and managing meeting agendas and related materials, and Organizer desires to retain Consultant to prepare and deliver the Townhall Meeting agenda and associated services under the terms set forth in this Agreement; and

WHEREAS, the parties agree that the services to be provided, payment terms, confidentiality obligations, and other binding terms will be governed by this Agreement.

Scope of Work

Consultant shall perform the following services in connection with the Townhall Meeting (collectively, the "Services"): draft a detailed agenda, coordinate sequence and timing of agenda items, prepare presenter briefs, produce meeting materials, and provide on-site or virtual facilitation support as agreed in writing.

Payment Terms

Organizer shall pay Consultant for the Services in accordance with the following payment terms. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

Payments not received within thirty (30) days of the due date shall accrue the specified late fee and may result in suspension of Services until cured. Organizer remains responsible for all undisputed amounts and reasonable collection costs.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach if such breach is not cured within fifteen (15) days after receipt of written notice specifying the breach.

Confidentiality

Each party agrees that all non-public information, materials, and communications disclosed by one party to the other that are identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information") shall be held in confidence and used only for the performance of this Agreement. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given prompt notice and the disclosure is limited to the extent legally required.

Upon termination or expiration of this Agreement, the receiving party shall, at the disclosing party's option, return or destroy all Confidential Information and certify in writing that it has done so, except to the extent retention is required by applicable law or reasonable archival backups.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

Entire Agreement

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Additional Provisions

Independent Contractor: Consultant is an independent contractor and nothing in this Agreement shall be deemed to create an employer-employee, partnership, or agency relationship between the parties. Consultant will be solely responsible for all taxes and withholdings applicable to its compensation.

Liability: Each party's liability for direct damages arising from this Agreement shall be limited to the amounts actually paid or payable by Organizer to Consultant under this Agreement during the twelve (12) month period preceding the event giving rise to liability. Neither party shall be liable for incidental, consequential, or punitive damages except for damages arising from willful misconduct or gross negligence.
