TOWNSHIP AGREEMENT FORM

Parties and Contact Information

This Township Agreement (the Agreement) is entered into by and between (Township) and (Provider) as of the Effective Date set forth below.

WHEREAS

WHEREAS, the Township seeks to obtain certain services for public purposes consistent with municipal duties and powers; and

WHEREAS, the Provider represents that it is duly qualified, experienced, and able to perform the services described in this Agreement in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform such services for the Township.

Scope of Work

Provider shall perform the work and furnish all labor, materials, equipment and supervision necessary to complete the tasks described below. The Scope of Work shall be performed in accordance with the schedules and standards set forth in this Agreement and any attachments.

Payment Terms

Compensation to Provider for satisfactory performance of the Scope of Work shall be as follows:

Late payments shall accrue interest at a rate of % per month, or the maximum rate permitted by law, whichever is less. Additionally, the Township may withhold payment for incomplete or defective work until corrected.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the proposed termination date. Either party may terminate for cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice specifying the breach.

Insurance and Indemnification

Provider shall procure and maintain insurance coverages appropriate to the work, including general liability, automobile liability, and workers' compensation as required by law. The minimum limits for general liability shall be per occurrence, unless otherwise agreed in writing.

Provider shall indemnify, defend and hold harmless the Township and its elected officials, officers, employees and agents from and against any and all claims, demands, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from Provider's performance of the Scope of Work, except to the extent caused by the Township's own negligence or willful misconduct.

Confidentiality

Each party acknowledges that in the performance of this Agreement it may receive or have access to proprietary or confidential information of the other party. Each party agrees to maintain such information in strict confidence and to use it only for the purposes of performing this Agreement. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, or information rightfully obtained from a third party without restriction.

Compliance with Laws; Records

Provider shall comply with all federal, state and local laws, rules and regulations applicable to the performance of the Scope of Work, including procurement, labor and safety requirements. Provider shall maintain complete and accurate records of work performed and expenditures, and shall permit the Township or its authorized representatives to inspect and audit such records during normal business hours for a period of three (3) years following final payment.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of . Any action arising out of this Agreement shall be brought exclusively in the state or federal courts located in the county where the Township is situated.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other. Notices shall be effective upon receipt.
