TRACKDAY PASSENGER AGREEMENT

This Trackday Passenger Agreement (the Agreement) is entered into by and between the Event Operator and the Passenger as of the effective date below.

WHEREAS

WHEREAS, the Event Operator organizes motor vehicle trackday events and provides vehicle operations, supervision, and safety oversight at the Track named above; and

WHEREAS, the Passenger desires to participate as a passenger in high-speed track laps, rides, or demonstrations in a vehicle operated by a designated Driver during the Event; and

WHEREAS, the parties acknowledge the inherent risks of motorsport activity and agree to allocate responsibility as set forth in this Agreement.

Scope of Activity

The Passenger will ride as a passenger in a vehicle operated by an authorized Driver during the Event. The Passenger's duties and permitted activities are limited to remaining properly seated, wearing required safety equipment, and following all instructions of the Driver, Event Operator staff, and safety marshals.

Passenger shall pay the Event Operator the fee described below in exchange for participation as a passenger in the Event.

Term and Termination

This Agreement commences on the Start Date and continues through the End Date unless earlier terminated consistent with this section.

Event Operator may suspend or terminate Passenger participation immediately for safety breaches, intoxication, failure to follow directions, or other material noncompliance. Termination shall not relieve Passenger of payment obligations accrued before termination.

Assumption of Risk; Release; Indemnification

The Passenger acknowledges that participation in motor vehicle track activities involves inherent and significant risks including bodily injury, permanent disability, death, property damage, and other loss. The Passenger freely and expressly assumes all risks, known and unknown, associated with the activity.

In consideration of permission to participate, the Passenger releases, waives, and discharges the Event Operator, its owners, employees, volunteers, sponsors, and agents (the Released Parties) from all liability for injury, death, or property damage arising out of or relating to the Passenger's participation, whether caused by the negligence of the Released Parties or otherwise, except to the extent prohibited by applicable law.

The Passenger shall indemnify, defend, and hold harmless the Released Parties from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) resulting from the Passenger's acts or omissions or breach of this Agreement.

The Passenger agrees to:

Comply with all required safety equipment rules, including wearing a helmet and securely fastened restraints at all times while in a vehicle.

Not be under the influence of alcohol, drugs, or any substance that could impair ability to follow safety instructions.

Follow all instructions from the Driver, Event Operator staff, and track marshals, and accept removal from activities for safety violations.

Confidentiality

Each party agrees that non-public operational, technical, or business information disclosed in connection with this Agreement and clearly designated as confidential shall be kept confidential and used only for the purposes of performing obligations under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of this clause.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any written addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral.

Severability and Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver shall be effective unless in writing and signed by the waiving party.

By signing below, the Passenger certifies that the information provided in this Agreement is true and complete, that the Passenger has read and understands this Agreement, including the assumption of risk, release, and indemnity clauses, and that the Passenger is authorized to enter into this Agreement.
