WHEREAS, Buyer desires to purchase such products and services from Seller on the terms set forth in this Agreement, and Seller desires to supply such products and services to Buyer; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Work

Seller shall provide the goods and/or services described below in accordance with the specifications, quantities, delivery schedule and standards set forth in this Agreement.

Payment Terms

Buyer shall pay Seller the consideration described below in accordance with the schedule and conditions set forth. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

All invoices shall reference the applicable purchase order, and Buyer shall pay undisputed invoices within the days specified in the payment schedule. In the event of a disputed invoice, Buyer shall provide written notice of the dispute and the parties shall act in good faith to resolve the dispute without delaying payment of any undisputed portion.

Delivery, Inspection and Acceptance

Delivery terms shall be as set forth in the Scope of Work. Title and risk of loss shall transfer as specified in the Scope of Work or, absent specification, upon delivery to the Buyer’s specified destination. Buyer shall have a reasonable inspection period following delivery to inspect the goods and notify Seller of any nonconformity. If Buyer does not provide notice within the inspection period, the goods shall be deemed accepted.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the Notice Period after receiving written notice. Termination shall not relieve Buyer of the obligation to pay for goods and services accepted or reasonably incurred prior to termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and not disclose to any third party any Proprietary Information of the other party (the "Disclosing Party") disclosed in connection with this Agreement. "Proprietary Information" includes pricing, technical specifications, business strategies, customer lists and any other information identified as confidential or that, by its nature, would reasonably be considered confidential. The Receiving Party shall use Proprietary Information solely to perform its obligations under this Agreement and shall take reasonable measures, at least as protective as those used to protect its own confidential information, to prevent unauthorized disclosure. Confidentiality obligations do not apply to information that (i) is or becomes publicly available through no fault of the Receiving Party, (ii) was rightfully known to the Receiving Party prior to disclosure, (iii) is independently developed by the Receiving Party without use of Proprietary Information, or (iv) is required to be disclosed by law or legal process, provided the Receiving Party gives prompt notice to the Disclosing Party to seek protective measures.

Representations, Warranties and Remedies

Seller represents and warrants that the goods supplied shall conform to applicable specifications and be free from material defects in workmanship and materials for a period specified in the Scope of Work (or if none specified, thirty (30) days) after acceptance. Buyer’s exclusive remedy for breach of the foregoing warranty shall be, at Seller’s option, repair, replacement or refund of the purchase price for the nonconforming goods. The remedies provided are exclusive and in lieu of all other remedies unless otherwise required by applicable law.

Limitation of Liability

Except for liability resulting from willful misconduct or gross negligence, or for payment obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, including lost profits, arising out of or in connection with this Agreement, whether in contract, tort or otherwise, even if advised of the possibility of such damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the amounts paid or payable under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration or litigation as elected by the non-breaching party, subject to any mandatory procedural requirements of the chosen forum.

Notices

All notices, requests or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice.

Taxes and Compliance

Each party is responsible for its own taxes and duties arising from performance under this Agreement. Buyer shall be responsible for sales, use or value-added taxes applicable to the purchase unless a valid exemption certificate is provided. Parties shall comply with all applicable export, import, trade controls, sanctions and anti-corruption laws.

Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under this Agreement to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, strikes, pandemics, governmental orders, shortages or delays by suppliers. The affected party shall promptly notify the other party and use commercially reasonable efforts to mitigate the effects of the force majeure event.

Entire Agreement; Amendments

This Agreement, including any exhibits, attachments and purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment, modification or waiver of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability and Assignment

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes all obligations hereunder.

What a Trade Agreement Is and when it's used

A Trade Agreement is a written contract between two or more parties that sets the terms for exchanging goods, services, or commercial rights. It typically defines the obligations of buyers and sellers, pricing, delivery schedules, quality standards, payment terms, warranties, indemnities, dispute resolution, and the governing law. Trade Agreements can be long-term master agreements covering multiple transactions or standalone contracts for a single sale. Accurate signatures, clear effective dates, and unambiguous scope reduce later disputes and support enforceability under U.S. contract law and applicable electronic signature statutes.

Why a clear Trade Agreement matters

A well-drafted Trade Agreement reduces commercial risk, clarifies responsibilities, and sets performance expectations. It provides a documented basis for enforcing payment, delivery, and warranty obligations and makes remedies such as damages or liquidated damages available when breaches occur.

Why a clear Trade Agreement matters

Who typically prepares and signs Trade Agreements

Trade Agreements are used by a range of organizations and roles across procurement, sales, and legal functions.

  • Corporate buyers and procurement teams managing supplier terms and inbound goods delivery.
  • Sales, account management, and commercial operations teams executing customer-seller terms.
  • In-house counsel and external attorneys reviewing risk allocation and compliance language.

Parties should identify signers with actual authority and include signature blocks that map to corporate roles to avoid later disputes.

Who has signature authority

Individual Signatory

An authorized officer, partner, or individual with delegated signing power who can bind the signing party. Confirm capacity (e.g., CEO, CFO, authorized agent) and that the name matches government ID and corporate records to prevent enforceability issues.

Corporate Representative

A designee listed in a corporate resolution or delegated authority matrix. For companies, include title and a statement of authority in the signature block to document the signer's right to execute on behalf of the entity.

Core sections to include in a professional Trade Agreement

A complete Trade Agreement groups related terms so readers can quickly find obligations, remedies, and administrative details. Standard sections improve clarity and reduce negotiation friction.

Parties and Recitals

Identify legal names, entity types, and addresses. Recitals explain the transaction background and scope so the operative clauses are interpreted in context.

Scope and Deliverables

Describe goods or services, specifications, acceptance criteria, delivery location, Incoterms if international, and responsible parties for packaging and logistics.

Price and Payment Terms

State currency, invoicing cadence, payment method, late payment interest, and any conditions for withholding or setoff.

Term, Renewal, and Termination

Specify initial term, renewal mechanics, termination for convenience or cause, notice requirements, and post-termination obligations.

Liability and Remedies

Limitations of liability, warranty period and remedies, indemnity scope, and any liquidated damages or cap on recoverable losses.

Governing Law and Dispute Resolution

Choose governing jurisdiction and dispute mechanism (litigation venue, arbitration rules, or mediation), and include prevailing party fee-shifting if applicable.

Step-by-step: completing and executing a Trade Agreement

Follow a consistent process from drafting to execution to create a clean audit trail and reduce post-signature disputes.

  • 01
Draft: Prepare terms and attach exhibits
  • 02
Review: Legal and commercial review, confirm pricing
  • 03
Authorize: Obtain internal approvals per delegation matrix
  • 04
Sign and Distribute: Execute via electronic signature; send final copies

Where to send, file, and deliver the executed agreement

Routing post-execution keeps obligations visible and ties signatures to operational workflows.

  • Counterparty Delivery: Send final fully executed copy to all contracting parties
  • Finance and AP: Provide invoice and payment terms to accounts payable
  • Contract Repository: Store signed agreement in a central contract management system
  • Operational Teams: Share delivery schedules and SLA details with operations

Typical digital workflow settings for Trade Agreements

Configure signing workflows to reflect approval order, authentication, and reminders for timely completion.

Field Configuration

Common mistakes when preparing a Trade Agreement

  • Using vague scope language that leaves delivery, quality, or quantity undefined and invites disputes.
  • Failing to confirm signatory authority, resulting in unsigned or unenforceable commitments.
  • Omitting payment timing or invoicing details that lead to billing disagreements and collections delays.
  • Neglecting governing law or dispute resolution clauses that complicate venue and procedural planning.

Consequences of incomplete or incorrect Trade Agreements

Breach Exposure: Monetary damages
Contract Void Risk: Unenforceability
Regulatory Fines: Industry-specific penalties
Operational Delay: Supply interruption
Reputational Harm: Customer loss
Tax Consequences: Incorrect reporting

How to download, save, and export executed Trade Agreements

Preserve signed copies in common formats and maintain an auditable file structure for retrieval and compliance checks.
