TRADE AGREEMENT TERMS

Recitals

WHEREAS, Party A is engaged in the business of sourcing, supplying and arranging trade of commercial goods and services within the territories agreed by the parties; and

WHEREAS, Party B desires to procure the goods and/or services described in this agreement and Party A is willing to provide such goods and/or services on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the parties agree as follows effective as of .

Scope of Work

Party A shall provide the commercial goods, services and related deliverables described below. Party A shall perform all work in a professional manner consistent with industry standards and in compliance with applicable law.

Payment Terms

In consideration for the goods and services rendered by Party A, Party B shall pay Party A the sums set forth below in accordance with the schedule and conditions provided.

All amounts are payable in the currency specified in invoices. Unless otherwise agreed, invoices not paid within the agreed payment term shall accrue interest at the late payment rate specified above and the prevailing remedies for collection shall apply. Taxes, duties, and governmental charges shall be borne by the party required by law to pay them unless otherwise agreed in writing.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for thirty (30) days after written notice specifying the breach. Termination for insolvency, bankruptcy or a party's inability to perform shall be immediate upon written notice. Termination shall not relieve either party of obligations accrued prior to the termination date, including payment for goods and services delivered.

Confidentiality

Each party agrees that all non-public business, technical or financial information disclosed by one party to the other in connection with this Agreement shall be treated as confidential and shall not be disclosed or used except as necessary to perform obligations under this Agreement or with the prior written consent of the disclosing party.

Confidential information shall remain subject to this obligation for a period of years following termination or expiration of this Agreement, unless a longer period is required by applicable law. The foregoing shall not apply to information that is or becomes public through no breach by the receiving party, is received from a third party without breach of any obligation of confidentiality, or is independently developed by the receiving party without use of the disclosing party's confidential information. Remedies for breach include equitable relief and damages.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree to negotiate in good faith to resolve disputes; if unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in the selected governing state, unless the parties mutually agree in writing to arbitration.

Entire Agreement; Amendments

This Agreement, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, representations and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Representations; Compliance

Each party represents and warrants that it has the right and authority to enter into this Agreement and that performance will comply with all applicable laws, export controls and trade regulations. Each party shall obtain and maintain all licenses and permits necessary to perform its obligations hereunder.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses or expenses arising from its negligence, willful misconduct, breach of this Agreement, or violation of applicable law in connection with performance under this Agreement. Indemnified parties shall provide prompt written notice of claims and cooperate in the defense.
