Trade Booking Service Level Agreement

Parties

Recitals

WHEREAS, Client engages Service Provider to perform trade booking and related trade processing services in accordance with the terms and service levels set forth in this Agreement (the Service); and

WHEREAS, Service Provider has represented that it has the personnel, systems, and expertise necessary to provide the Service and to meet the service levels described herein; and

NOW, THEREFORE, in consideration of the mutual promises below, the parties agree as follows. Effective Date:

Scope of Work

Service Provider will perform trade booking services for trades executed by Client, including validation, booking into the Client's nominated systems, allocation and confirmation routing, and reconciliation of booking exceptions. The Service includes the handling of trade lifecycle events identified in this Agreement and any attachments incorporating operational runbooks.

Performance Standards

Service Provider shall meet the following minimum service levels. Measurement periods shall be monthly unless otherwise specified.

Service Credits and Remedies

If Service Provider fails to meet a stated service level, Client is entitled to a service credit calculated as follows: for each percentage point below booking accuracy or uptime target, a credit equal to % of the monthly service fee, up to a maximum aggregate credit of % in any one month. Credits are Client's sole and exclusive remedy for service level failures except for breaches of confidentiality or willful misconduct.

Payment Terms

Client shall pay Service Provider the fees specified below in consideration of the Services. All fees are exclusive of taxes unless otherwise stated.

Late payment shall bear interest at % per month on the overdue balance, or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated, will continue until End Date: .

Either party may terminate this Agreement for convenience upon providing written notice at least days to the other party. Either party may terminate immediately for material breach if such breach remains uncured for thirty (30) days following written notice, or immediately for insolvency or willful misconduct.

Confidentiality

Each party shall hold confidential all information designated as confidential or that a reasonable person would consider confidential, including trade data, client identifiers, and booking details ("Confidential Information"). Confidential Information shall not be disclosed except to those employees, agents, or subcontractors who need to know and who are bound by confidentiality obligations at least as protective as those here. Confidentiality obligations shall survive termination for a period of three (3) years, or longer where required by applicable law with respect to personally identifiable information.

Data Protection and Client Data

Service Provider will process Client Data only to perform the Services and will implement appropriate technical and organizational measures to protect Client Data. Upon termination, Service Provider shall return or securely destroy Client Data as directed by Client, subject to retention for legal or regulatory requirements.

Indemnity and Limitation of Liability

Each party shall indemnify the other against third-party claims arising from its negligence, willful misconduct, or breach of confidentiality. Except for liability resulting from gross negligence, willful misconduct, or breach of confidentiality, neither party's aggregate liability shall exceed the total fees paid or payable to Service Provider under this Agreement for the prior twelve (12) months.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the party's Notice Address set forth above or such other address as a party may designate by notice. Notices are effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising out of this Agreement.

Entire Agreement

This Agreement, including any schedules or appendices executed by the parties, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior and contemporaneous agreements and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other except to a successor in interest to substantially all of its business.
