This Trade Document Template ("Agreement") is entered into as of the Effective Date set forth below by and between the parties identified herein.

WHEREAS, Supplier is engaged in the business of manufacturing, supplying and selling the goods and services described in this Agreement; and

WHEREAS, Buyer desires to purchase and Supplier agrees to sell such goods and/or perform services on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth the parties' respective rights, obligations, pricing and terms of delivery and payment.

SCOPE OF WORK

The Supplier shall provide the goods and/or services described below in accordance with the specifications, quantities and delivery schedule agreed by the parties. Description and special instructions:

GOODS AND PRICING

The parties agree that goods and prices will be recorded in the schedule below. Unit prices are exclusive of applicable taxes, duties and shipping unless otherwise stated.

PAYMENT TERMS

Buyer shall pay Supplier the Order Total in accordance with the payment schedule set forth below. All payments shall be made in cleared funds in the currency agreed by the parties and are due without set-off.

Payments more than days overdue shall accrue interest and late fees as specified above. Buyer shall also be responsible for reasonable collection costs and attorney fees incurred by Supplier to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon providing days' prior written notice.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") disclosed in connection with this Agreement. "Confidential Information" includes commercial terms, pricing, technical data, drawings, specifications, customer lists and other non-public information designated as confidential or which a reasonable person would understand to be confidential.

The Receiving Party shall use the Confidential Information only for the purposes of performing its obligations under this Agreement and shall protect such information using at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. Obligations of confidentiality shall not apply to information which is (a) publicly available without breach of this Agreement; (b) already known to the Receiving Party prior to disclosure; (c) rightfully obtained from a third party without restriction; or (d) required to be disclosed by law, provided the Disclosing Party is given prompt notice and opportunity to seek protective measures. The confidentiality obligations survive termination for a period of years.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. The parties shall use good faith efforts to resolve disputes promptly by negotiation. If negotiation fails, the parties may pursue any available legal or equitable remedies in the courts of competent jurisdiction in the governing state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings of the parties. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or purchaser of substantially all of its assets related to this Agreement.

Notices must be in writing and delivered to the addresses set forth above or to such other address as the receiving party may designate in writing.
