What a Trade Instruction Agreement Is and when it's used

The Trade Instruction Agreement is a formal contract that documents authority, limits, and procedures for executing securities or other financial transactions on behalf of an account. It identifies the parties, the scope of permitted orders, routing and settlement instructions, order types, and any pre-approval or trading limits. The agreement defines authentication and recordkeeping requirements for instructions, including how written, electronic, or delegated instructions will be delivered and verified under applicable e-signature laws (ESIGN/UETA) and broker-dealer procedures.

Why a clear Trade Instruction Agreement matters

A well-drafted Trade Instruction Agreement reduces operational errors, documents authority for regulators and counterparties, and creates an auditable record of instructions and consent. It clarifies risk allocation, settlement responsibilities, and acceptable authentication methods to support compliance and dispute resolution.

Why a clear Trade Instruction Agreement matters

Who commonly prepares and signs Trade Instruction Agreements

Select signatories and scope based on account type, regulatory obligations, and whether the agreement will be executed electronically or in paper form.

  • Institutional investors — Establish delegated trading protocols, internal limits, and audit controls for portfolio managers and custody relationships.
  • Broker-dealers and trading desks — Document authorized counterparties, order acceptance rules, and settlement routing to reduce fill and settlement errors.
  • Advisors and wealth managers — Specify discretionary authority, pre-authorized order types, and communication channels for client-directed or discretionary trading.

Core elements every Trade Instruction Agreement should include

A professional agreement groups operational rules, legal terms, and signature mechanics so both sides can act quickly and consistently while preserving an audit trail.

Parties & Roles

Full legal names of client, broker, custodian, and any authorized agents; specify delegated vs retained authority and limits.

Permitted Trades

List eligible instruments and order types (market, limit, stop) and whether complex or margin orders are allowed.

Execution Authority

State whether instructions are binding immediately on receipt, require pre-approval, or are conditional on funds and margin.

Order Details

Define required order fields (ticker, quantity, price instructions, account, settlement date) and acceptable shorthand.

Settlement Instructions

Provide custody details, deliver-versus-pay preferences, and routing for funds or certificates to avoid settlement breaks.

Dispute & Liability

Allocate responsibility for execution errors, stale instructions, tax reporting, and include governing law and dispute resolution.

Essential information to include on the form

Account Number: Brokerage account ID
Broker / Custodian: Firm legal name
Authorized Signer: Name and title
Trading Limits: Dollar or volume cap
Effective Date: Start date
Signature Method: Wet or e-sign

Step-by-step: prepare and execute the Trade Instruction Agreement

Follow these sequential steps to create, approve, sign, and distribute a Trade Instruction Agreement with a clear audit trail and delivery confirmation.

  • 01
Prepare Document: Draft terms, parties, permitted trades, and settlement fields.
  • 02
Confirm Account Details: Verify account numbers, custodial routing, and KYC data.
  • 03
Specify Orders: Add sample order format, limits, date formats, and contingencies.
  • 04
Sign and Deliver: Obtain required signatures and send copies to parties and custodian.

How to configure the agreement for electronic completion

Map form fields to workflow settings so electronic signatures, authentication, and integrations work reliably during live trading hours.

Field Configuration
Signature Type ESIGN-compliant eSignature with audit trail
Authentication Email link + SMS code or KBA where required
Conditional Logic Show extra fields when discretionary authority is checked
Integrations Connect to CRM/ERP (Salesforce, NetSuite) and document storage

Where to file, send, and store completed trade instructions

A completed agreement should be distributed so all operational, compliance, and custodial teams have an auditable copy and routing instructions.

  • Upload to Repository: Store signed PDF in secure document management.
  • Send to Broker: Deliver executed agreement to broker-dealer and trading desk.
  • Notify Custodian: Provide settlement routing to the custodian for live trades.
  • Retain Audit Trail: Preserve timestamps, IP, and signer authentication records.

Distribution channels and technical requirements

Verify that your chosen platform supports audit trails, secure storage, and the level of signer authentication required by your regulator or counterparty.

  • signNow Integrations: Salesforce, NetSuite, Microsoft 365
  • File Formats: PDF, DOCX, XLSX accepted
  • Authentication Options: Email, SMS, KBA available

Typical timelines, deadlines, and processing expectations

Timelines depend on trade type, settlement cycle, and whether instructions are pre-authorized or require manual review; build processing SLAs into the agreement.

Same-day Execution Window:

Immediate orders must be received before market or desk cut-off times.

Settlement Cycle:

Most securities settle on a T+2 cycle; follow custodian instructions.

Broker Review Time:

Manual review may add 1–2 business days to processing.

Signed Copy Delivery:

Return executed agreement and certificate of completion within 24–48 hours.

Revocation Timing:

Instructions can typically be revoked before execution; confirm broker policy.

Common mistakes to avoid when preparing trade instructions

  • Ambiguous order terms — omitting explicit price instructions or order type leads to unintended fills and disputes.
  • Incorrect account or routing numbers — a single digit error can route settlement to the wrong account and trigger recovery processes.
  • Incomplete authorization scope — failing to define discretionary limits causes manual holds and rejected orders.
  • Missing authentication or audit trail — unsigned or poorly authenticated instructions can be rejected by counterparties or fail regulatory review.

Penalties and operational risks from incorrect instructions

Execution Errors: Potential financial loss
Regulatory Fines: Enforcement exposure
Rejected Trades: Settlement disruptions
Tax Reporting Issues: Incorrect 1099 or cost basis
Counterparty Loss: Liability claims
Data Breach: Confidentiality compromise

Real-world examples of Trade Instruction Agreement use

Organizations across sectors use Trade Instruction Agreements to speed processing while maintaining compliance and auditability.

Optica Ventures LLC

Optica standardized trade instructions across its portfolio to reduce execution confusion.

  • They used a single template with required fields for account routing and limits.
  • Brian Fitzgibbons, COO, reports the interface is simple and easy-to-use for the team and customers, improving consistency while preserving the signed record for audits and client communications.

BIS

A financial services firm centralized delegated trading permissions to reduce manual approvals.

  • The change cut processing variation across desks.
  • Dan Rotelli, CEO, noted preference for a solution with SOC 2 compliance and clear ESIGN/UETA alignment to maintain regulator-ready audit trails and consistent enforcement of trading limits.

Practical tips for accurate and efficient completion

Follow these practical measures to reduce friction, speed processing, and strengthen the legal and operational integrity of trade instructions.

Use precise order language
Avoid ambiguous verbs and colloquialisms; specify ticker symbols, ISINs when applicable, exact quantities, and order types to ensure consistent execution across systems and counterparties.
Verify account and custodian data
Confirm account numbers, DTC or beneficiary details, and wire routing with the custodian before executing trades to minimize settlement failures and manual corrections.
Document signer authority
Attach specimen signature pages, corporate resolutions, or POAs when agents act for clients; this prevents delays when brokers validate authorization.
Preserve the audit trail
Keep the signed agreement, timestamps, IP addresses, and any authentication evidence together to support compliance reviews and dispute resolution.
