TRADE SERVICES AGREEMENT

This Trade Services Agreement ("Agreement") is entered into between the parties identified below on the date of signature. Client Name: Client Address:

WHEREAS

WHEREAS, Contractor is duly licensed, trained and experienced in providing trade services including but not limited to plumbing, electrical, HVAC, carpentry, and related installation, repair and maintenance services (the "Services"); and

WHEREAS, Client desires to retain Contractor to perform certain Services at the location described in this Agreement and Contractor is willing to perform such Services under the terms and conditions set forth herein.

SCOPE OF WORK

Contractor shall perform the Services as specifically described below. The description shall identify tasks, materials, milestones and deliverables. Any changes to the Scope of Work shall be made in writing and signed by authorized representatives of both parties.

PAYMENT TERMS

Invoicing: Contractor will submit invoices to Client upon completion of milestones or on a monthly basis as specified above. Payment is due within days of invoice date. Late payments shall incur a late fee of on the outstanding balance, calculated from the date payment was due.

Taxes and Expenses: Client shall be responsible for sales taxes and any permit fees or other governmental charges unless otherwise stated. Pre-approved out-of-pocket expenses shall be reimbursed by Client upon presentation of receipts.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until completion of the Services or until unless earlier terminated in accordance with this Agreement.

Termination: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of seven (7) days after written notice of such breach. Upon termination, Contractor shall be entitled to payment for all Services performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to maintain Confidential Information in strict confidence, to use such information only for performance of this Agreement, and not to disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years. Notwithstanding the foregoing, information that is or becomes publicly available through no fault of the receiving party or is lawfully received from a third party shall not be considered Confidential Information.

INSURANCE; WARRANTY; LIABILITY

Insurance: Contractor represents that it maintains commercially reasonable liability and workers' compensation insurance. Upon request, Contractor will provide certificates of insurance evidencing coverage.

Warranty: Contractor warrants that Services will be performed in a professional and workmanlike manner for a period of months from completion. Remedies for breach of warranty shall be limited to re-performance of defective work or, at Contractor's option, refund of that portion of the fees attributable to the defective work.

Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Contractor's aggregate liability under this Agreement shall not exceed the total amounts paid by Client to Contractor under this Agreement.

INDEPENDENT CONTRACTOR

Contractor is an independent contractor and not an employee, agent, or partner of Client. Contractor shall be solely responsible for all payroll taxes, withholding, and other employment obligations for its employees or subcontractors.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Severability: If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of any subsequent breach.
