What a Trade Suitability Agreement Is

A Trade Suitability Agreement documents the assessment that a broker-dealer or investment adviser makes about a client’s financial profile and whether a proposed trade or recommendation aligns with the client’s objectives, risk tolerance, liquidity needs, and investment horizon. It typically records the client’s investment experience, income, net worth, account type, and explicit consent or refusal for specific product types. Firms use the agreement to meet suitability obligations under FINRA and SEC rules and to create an audit trail showing the basis for trade recommendations and discretionary actions.

Why the Trade Suitability Agreement Matters

A clear suitability agreement reduces regulatory risk, documents informed consent, and supports supervisory review. It provides evidence that recommendations matched the client profile and supplies the recordkeeping needed for audits or dispute resolution under federal securities rules.

Why the Trade Suitability Agreement Matters

Who prepares and relies on this agreement

The agreement is a shared record: client-facing for consent and internal for supervision and recordkeeping under securities laws.

  • Broker-dealers and registered representatives responsible for client recommendations and trade execution.
  • Registered investment advisers and portfolio managers documenting suitability and fiduciary considerations.
  • Compliance teams and supervisory personnel who review and retain suitability records for audits.

Who signs and who certifies

Client — Investor

The client (individual or authorized representative) signs to confirm the accuracy of financial profile details and to consent to the proposed trading strategy. Signature indicates informed acceptance of documented risks and any limitations placed on the account.

Firm Representative — Advisor

A registered representative, investment adviser representative, or compliance officer signs to attest that the suitability assessment was performed and that recommendations were made consistent with the client’s disclosed profile.

Common mistakes to avoid

  • Using vague objective or risk descriptors that make matching products to the client unclear at review.
  • Allowing unsigned or partially completed agreements to be relied upon for discretionary trades.
  • Not retaining a verifiable audit trail when using electronic signatures, which complicates dispute resolution.

Penalties and compliance risks for incorrect or missing agreements

Regulatory fines: SEC or FINRA penalties possible
Customer restitution: Disgorgement or claims exposure
Supervisory sanctions: Enhanced supervision or remedial orders
Reputational harm: Client trust and retention impact
Arbitration risk: Greater chance of investor disputes
