This Trading Agreement ("Agreement") is made and entered into as of Effective Date: by and between the parties set forth below.

WHEREAS, Party A engages in trading, purchase and sale of financial instruments, commodities, or other assets as set out in this Agreement; and

WHEREAS, Party B desires to engage Party A to undertake specific trading transactions and Party A agrees to provide such services on the terms and conditions set forth herein; and

WHEREAS, the parties intend to define the scope, payment mechanics, confidentiality obligations and remedies in relation to the trading activity.

Scope of Work

Party A shall execute trading transactions on behalf of Party B and shall perform the following services, subject to the terms below:

Specific assets, instruments, transaction limits, execution venues, acceptable counterparties, and reporting requirements shall be as set forth in the Scope of Work above or in any transaction confirmation agreed in writing by the parties.

Payment Terms

Compensation to Party A shall consist of fees, commissions or other consideration as described below.

Invoices issued by Party A shall be payable within days of invoice receipt. Payments shall be made in: and by the method indicated below.

Payment Method

Late payments shall bear interest at a rate of or the maximum rate permitted by law, whichever is lower. Party B shall also reimburse Party A for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 10 days following written notice of such breach.

Confidentiality

Each party (Recipient) shall treat as confidential and shall not disclose or use for any purpose other than performance of this Agreement any Confidential Information of the other party (Discloser). "Confidential Information" includes non-public business, trading, pricing, strategy, and technical information. Confidential obligations survive termination for a period of unless a longer statutory period applies.

Exceptions: Confidential Information does not include information that is already known to Recipient without obligation of confidentiality, becomes publicly known through no breach by Recipient, or is required to be disclosed by law or regulation (provided Discloser is given prompt notice to seek protection).

Representations, Indemnity & Liability

Each party represents that it has power and authority to enter into this Agreement and perform its obligations. Each party shall indemnify and hold harmless the other party from claims, losses or liabilities arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Except for liability arising from willful misconduct, fraud or the indemnities above, neither party shall be liable to the other for consequential, special, incidental or punitive damages. The aggregate liability of either party for direct damages shall be limited to the total fees paid or payable to Party A under this Agreement during the preceding twelve (12) months.

Force Majeure; Assignment

Neither party shall be liable for failures or delays resulting from causes beyond its reasonable control, including acts of God, war, terrorism, government restriction, strikes, or interruptions of communications or utilities (Force Majeure). The affected party shall provide prompt notice and use commercially reasonable efforts to resume performance.

Neither party may assign this Agreement without the prior written consent of the other party, except that a party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising under this Agreement.

Notices under this Agreement shall be sent to the addresses below and shall be effective upon receipt.

Amendment; Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, understandings and agreements. No amendment, waiver or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
