Transfer of Title, Delivery, and Inspection

Title to and risk of loss for the trading cards shall pass from Seller to Buyer upon Seller's delivery of the items to Buyer or to Buyer's designated carrier and Buyer's full payment of the applicable amount, whichever occurs later. Seller represents and warrants that Seller has good and marketable title, free of liens, claims or encumbrances.

Buyer shall have a final inspection period of days following delivery to notify Seller in writing of any nonconformity. Absent timely written notice, the items shall be deemed accepted.

Term and Termination

This Agreement shall commence on and shall terminate on unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination does not relieve the breaching party of liability for breaches occurring prior to termination.

Notice of termination must be provided in writing with at least days' prior notice where applicable.

Confidentiality

Each party shall hold confidential and not disclose to any third party the other party's nonpublic information disclosed in connection with the negotiation, performance, or enforcement of this Agreement, including pricing, card provenance documents, grading reports, and personal contact information. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or judicial process (provided the disclosing party is given prompt notice to seek protective relief).

Representations and Indemnity

Seller represents that the cards are genuine to the best of Seller's knowledge and that Seller has full authority to sell the items described. Buyer represents that Buyer has received, reviewed, and approved the descriptions and photographs provided prior to entering into this Agreement. Each party agrees to indemnify and hold harmless the other from any third-party claims arising from that party's breach of its representations, warranties, or covenants under this Agreement.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, or punitive damages. The aggregate liability of either party for claims arising out of this Agreement shall not exceed the Total Purchase Price actually paid under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved by binding arbitration or in the state or federal courts located in the chosen jurisdiction as agreed in writing by the parties.

Entire Agreement

This Agreement, including any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, oral or written. Any amendment or modification must be in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above or to such other address as either party may designate in writing. Notice shall be effective upon receipt.
