Trading MACD Form

This Trading MACD Form (the "Agreement") is entered into as of between:

WHEREAS

WHEREAS, Service Provider is engaged in the development, configuration and deployment of trading indicators and execution rules, including Moving Average Convergence Divergence ("MACD") based strategies; and

WHEREAS, Client desires to retain Service Provider to design, configure, and, if authorized below, execute trades using MACD parameter settings and entry/exit rules described herein under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to define the scope of work, payment, risk allocation, confidentiality, and other material terms governing the provision of MACD-related trading services and any associated automation.

Scope of Work

Service Provider will perform the services described below (the "Services") in accordance with the terms of this Agreement.

Payment Terms

As consideration for the Services, Client agrees to pay Service Provider the fees and expenses set forth below.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of obligation to pay fees for Services performed through the date of termination.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party. "Confidential Information" includes, without limitation, trading algorithms, source code, parameter settings, performance reports, API credentials, business plans, and non-public technical or commercial information. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, or that is independently developed by the receiving party without access to the disclosing party's Confidential Information.

The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall restrict access to employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

Representations, Risk Acknowledgement and Liability

Client acknowledges and agrees that (a) trading financial instruments involves material risk of loss; (b) past performance, backtests or simulated results are not indicative of future results; (c) Service Provider does not guarantee profitability or avoidance of loss; and (d) any trading activity executed pursuant to this Agreement is undertaken at Client's sole risk unless otherwise expressly agreed in writing.

Except for willful misconduct or gross negligence, Service Provider's liability to Client for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider under this Agreement in the 12 months preceding the event giving rise to the claim. Neither party shall be liable for special, incidental, consequential or punitive damages.

Indemnification

Client shall indemnify, defend and hold Service Provider harmless from any third-party claims arising from Client's misuse of the Services, Client-provided account access, unauthorized disclosures of credentials, or Client-directed trading instructions that are inconsistent with the parameters set forth in this Agreement. Service Provider shall indemnify Client for third-party claims arising from Service Provider's gross negligence or willful misconduct in connection with Services.

Reporting, Audits and Performance

Service Provider shall maintain accurate records of trades executed under this Agreement and shall provide Client with reports at the frequency selected above. Client may request reasonable access to execution records for the purpose of audit, subject to confidentiality protections and reasonable notice.

Intellectual Property

Unless otherwise agreed in writing, Service Provider retains all right, title and interest in pre-existing intellectual property, source code, models, templates and tools used in providing the Services. Service Provider grants Client a non-exclusive, non-transferable right to use any deliverables for Client's internal trading purposes only. License to use deliverables terminates upon expiration or termination of this Agreement unless otherwise agreed in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement and Amendment

This Agreement, together with any exhibits or addenda attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
