TRADING TERMS AGREEMENT

This Trading Terms Agreement ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Seller is engaged in the business of buying, selling and otherwise trading commodities, products or financial instruments as identified in the Scope of Work below; and

WHEREAS, Buyer desires to purchase, receive or trade such commodities, products or instruments on the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth their trading terms, payment obligations, confidentiality obligations and other material terms in this Agreement.

SCOPE OF WORK

Description of transactions, goods, services and trading protocols to be performed under this Agreement:

PAYMENT TERMS

Payment Amount: USD

Late Payment Fee: on overdue balances, compounded monthly to the maximum extent permitted by law.

Payment Disputes: Parties shall meet promptly to resolve bona fide disputes in good faith. Buyer must notify Seller of any invoice dispute within days of receipt of invoice or the invoice will be deemed accepted.

TERM AND TERMINATION

Term Commencement Date:

Term Expiration Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, including commercial terms, pricing, specifications and trade practices ("Confidential Information"). The Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that is (a) publicly available through no breach of this Agreement, (b) rightfully received from a third party without restriction, (c) independently developed without use of Confidential Information, or (d) required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt notice and cooperates with reasonable efforts to limit disclosure.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by the courts located in the county of the chosen governing state, and the parties consent to personal jurisdiction and venue therein.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements and understandings. No amendment, modification or waiver of any provision shall be effective unless in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that a party may assign to an affiliate or in connection with a sale of substantially all of its assets.

Notices: Notices shall be in writing and delivered by hand, recognized overnight courier, or certified mail to the addresses set forth above or to such other address as either party may designate by notice to the other.
