Recitals

WHEREAS, Lessor is the lawful owner of the trailer described below and is willing to rent the trailer to Lessee on the terms and conditions set forth in this Agreement; and

WHEREAS, Lessee desires to rent the trailer for lawful commercial or personal purposes and to accept responsibility for its care, operation, and return in accordance with this Agreement; and

Equipment Description

Lessee shall rent and use the trailer only for the purposes described below and in compliance with all applicable laws, licensing, and safety regulations. Lessee shall not use the trailer for unlawful, hazardous, or commercial passenger transport unless expressly authorized.

This Agreement continues for the stated term unless earlier terminated in accordance with this Agreement. Either party may terminate this Agreement for convenience by delivering written notice to the other party at least days prior to the intended termination date. Lessor may immediately terminate for Lessee default as described in the Default and Remedies section.

Payment Terms

All payments shall be made in lawful currency to Lessor at the address for Notices below unless otherwise agreed in writing. Lessee shall be responsible for all costs of collection, including reasonable attorney fees, for unpaid amounts.

Delivery, Pickup, and Location

Insurance, Indemnity and Liability

Lessee shall, at its sole expense, maintain insurance covering liability, physical damage, and theft with limits not less than those specified below. Lessee shall name Lessor as an additional insured and provide certificates evidencing such coverage prior to delivery.

Lessee shall indemnify, defend, and hold harmless Lessor from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's use, possession, operation, maintenance, or storage of the trailer, except to the extent caused by Lessor's gross negligence or willful misconduct.

Maintenance, Repair, and Damage

Lessee shall maintain the trailer in good working order and condition and shall perform routine maintenance during the rental. Lessee shall notify Lessor promptly of any damage, loss, or needed repairs. Lessee shall be responsible for repair costs for damage caused by Lessee's misuse, negligence, or failure to operate the trailer in accordance with manufacturer's instructions.

Inspection and Acceptance

Prior to delivery, Lessor shall provide Lessee with a written condition report. Lessee shall inspect the trailer upon delivery and shall notify Lessor in writing of any discrepancies or defects within 24 hours of delivery. Failure to timely notify shall constitute acceptance of the trailer's condition at delivery.

Default and Remedies

If Lessee fails to make timely payment, fails to maintain required insurance, abandons the trailer, or otherwise breaches any material term of this Agreement, Lessor may, at its option, terminate this Agreement, take possession of the trailer, and pursue all available remedies at law or in equity, including recovery of rent, damages, and collection costs.

Confidentiality

Each party shall keep confidential all non-public business information disclosed by the other party in connection with this Agreement and shall not disclose such information to any third party except as required by law or with the disclosing party's prior written consent. The obligations of confidentiality shall survive termination of this Agreement for a period of two years.

Notices

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state identified below. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising under this Agreement.

Entire Agreement and Amendments

This Agreement, including any attachments or condition reports referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. This Agreement may be amended only by a written instrument signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Lessor may assign to a successor in interest.
