This Training Agreement ("Agreement") is made effective as of by and between , a training provider with principal place of business at ("Provider"), and , with principal place of business at ("Client").

WHEREAS

WHEREAS, Provider develops and delivers instructor-led technical and professional training programs, including the Boot Camp IO curriculum and associated materials; and

WHEREAS, Client desires to procure Provider's training services for its personnel under the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Work

Provider shall deliver the services in accordance with the schedule set forth below and shall supply qualified instructors, training materials, and reasonable administrative support. Any changes to the Scope of Work must be documented in a written amendment signed by both parties.

2. Payment Terms

Total Fee: $ for the services described in this Agreement, exclusive of travel and accommodation unless otherwise stated.

Deposit: Client shall pay a non-refundable deposit of $ upon execution of this Agreement to reserve training dates.

Late Payment: Any undisputed amount not paid within days after the due date shall bear interest at a rate of , or the maximum rate permitted by law, whichever is lower.

Expenses: Client will reimburse Provider for pre-approved out-of-pocket expenses (travel, lodging, meals) upon submission of reasonably detailed receipts within 30 days of invoicing.

Either party may terminate this Agreement without cause by giving written notice to the other party at least days prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breaching party fails to cure such breach within 10 days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for all services performed and reimbursable expenses incurred through the effective date of termination. Provider will deliver any completed deliverables and refund any unearned prepaid fees, if applicable, within 30 days.

4. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other party in connection with this Agreement, whether disclosed in writing, orally, or by inspection of tangible objects. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement, (b) is rightfully received from a third party without restriction, (c) is independently developed by the receiving party, or (d) is disclosed under order of a court or governmental authority.

Each party agrees to (i) maintain the confidentiality of the other party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, (ii) use Confidential Information only to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to third parties except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Upon termination or expiration of this Agreement, each party will return or destroy, at the disclosing party's option, all Confidential Information and certify in writing that it has complied with this obligation.

5. Intellectual Property; Materials

Provider retains all right, title, and interest in and to Provider's pre-existing materials, training content, courseware, and methodologies (collectively, "Provider Materials"). Provider grants Client a non-exclusive, non-transferable license to use Provider Materials solely for Client's internal training purposes during the Term. Client shall not reproduce, distribute, or create derivative works of Provider Materials except as expressly permitted in writing by Provider.

6. Representations; Warranties; Liability

Each party represents that it has the authority to enter into this Agreement. Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for incidental, consequential, or punitive damages. The aggregate liability of either party under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

8. Entire Agreement

This Agreement, including any exhibits or appendices signed by the parties, constitutes the entire agreement between Provider and Client with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
