Training Agreement

Recitals

WHEREAS, the Client desires to obtain professional training services relating to the subject matter described in this Agreement, including any training materials and support specified in the Scope of Work; and

WHEREAS, the Trainer represents that the Trainer has the expertise, personnel, and resources necessary to provide such training services in a professional manner and in accordance with industry standards; and

WHEREAS, the parties wish to set forth the terms and conditions under which the Trainer will provide training to the Client as set forth herein.

Scope of Work

The Trainer shall provide training services as described below. The Trainer shall perform the services in a timely, professional manner and shall provide qualified personnel and training materials necessary to accomplish the objectives agreed by the parties.

Payment Terms

The Client agrees to pay the Trainer the fees described below in consideration for the Trainer's performance of the training services. All fees are due in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest and collection costs as provided below.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given not less than days prior to the effective date of termination.

Either party may terminate this Agreement immediately for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" includes non-public business, technical and financial information, trade secrets, and course materials provided pursuant to this Agreement, whether disclosed orally, visually, or in writing. Confidential Information does not include information that is (a) already known to the Receiving Party without restriction, (b) independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information, (c) rightfully received from a third party without duty of confidentiality, or (d) required to be disclosed by law, provided the Receiving Party gives prompt written notice and cooperates with the Disclosing Party to seek confidential treatment.

The Receiving Party shall use Confidential Information solely for the performance of its obligations under this Agreement and shall take reasonable measures to protect the confidentiality of such information.

Intellectual Property

Unless otherwise agreed in writing, copyright and all intellectual property rights in training materials provided by the Trainer shall remain the sole property of the Trainer. The Trainer grants the Client a non-exclusive, non-transferable license to use the training materials for the Client's internal business purposes during the term of this Agreement. The Client shall not reproduce, distribute, modify, or create derivative works of such materials except as expressly authorized by the Trainer in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to this Agreement, even if advised of the possibility of such damages. The Trainer's aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by the Client to the Trainer under this Agreement for the specific training giving rise to the claim.

Entire Agreement

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or waiver of any provision of this Agreement must be in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses set forth below or to such other address as either party may specify in writing.
