TRAINING FLIGHT AGREEMENT

This Training Flight Agreement (Agreement) is made on between:

WHEREAS

WHEREAS, Client wishes to receive flight training, including but not limited to dual instruction, ground briefing, and supervised flight practice, in the aircraft described below; and

WHEREAS, Instructor is duly qualified and agrees to provide such training under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to allocate responsibility for safety, payment, and regulatory compliance during the provision of training services.

SCOPE OF WORK

Instructor will provide flight training, ground instruction, pre-flight briefings, and supervised flight time necessary to meet the training objectives described below. Training shall conform to applicable aviation regulations and accepted industry standards.

PAYMENT TERMS

Client shall pay Instructor for training services, aircraft rental (if applicable), and any associated fees in accordance with the schedule below. All amounts are stated in US dollars unless otherwise indicated.

Late payments shall incur interest and fees as set forth below.

TERM AND TERMINATION

This Agreement commences on and continues until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Termination for cause may occur immediately upon material breach, including failure to pay, unauthorized solo flight, or violation of applicable aviation regulations.

RISK ACKNOWLEDGMENT, WAIVER, AND INDEMNIFICATION

Client acknowledges that flight training involves inherent risks, including injury, death, and property damage. Client voluntarily assumes all such risks arising from participation in training flights, whether occurring on the ground or in flight, except to the extent caused by Instructor's gross negligence or willful misconduct.

Client hereby releases, waives, and discharges Instructor and Instructor's agents from claims, liabilities, and expenses arising from ordinary negligence. Client agrees to indemnify and hold harmless Instructor from claims, losses, or damages arising from Client's acts or omissions, including breach of this Agreement or failure to comply with safety instructions.

INSURANCE AND LIABILITY

Instructor represents that any aircraft provided for training is covered by insurance as required by applicable law. Client understands that insurance may have limits and exclusions and that Client is responsible for deductibles and for loss/damage caused by Client's negligence. Client is advised to obtain personal insurance for additional coverage.

CONFIDENTIALITY

Each party shall keep confidential and not disclose non-public business, technical, or operational information of the other party learned in connection with this Agreement, except as required by law or to comply with aviation authorities. Confidential information does not include information that is publicly known through no fault of the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attached schedules or addenda executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements. Any amendment must be in writing and signed by both parties.
