WHEREAS

WHEREAS, Organization Name is engaged in the development and delivery of professional training programs and requires qualified personnel to instruct and deliver specified courses; and

WHEREAS, Instructor has represented that Instructor possesses the requisite qualifications, experience, certifications, and professional competence to provide the training services described herein; and

NOW, THEREFORE, the parties set forth the following guidelines governing the Instructor's performance of training services and the relationship between the parties.

SCOPE OF WORK

INSTRUCTOR RESPONSIBILITIES

The Instructor shall perform the following duties and comply with all stated requirements:

Prepare and deliver the curriculum in accordance with the approved syllabus and learning objectives.

Provide or prepare instructional materials, handouts, and assessments in a professional and timely manner.

Attend pre-course planning meetings and participate in post-course debriefs and evaluations as requested.

PAYMENT TERMS

Invoices shall itemize services performed and be submitted in the format required by the Organization. Payment will be made after receipt of a properly submitted invoice and in accordance with the Payment Schedule above.

The Instructor is responsible for all taxes and statutory contributions arising from compensation. The Instructor acknowledges that the Organization will not withhold income taxes unless required by law.

TERM AND TERMINATION

Either party may terminate for convenience provided the terminating party delivers written notice in accordance with the Notice Period above. The Organization may terminate immediately for material breach, negligence, misconduct, or failure to maintain required certifications or insurance.

CONFIDENTIALITY

The Instructor shall hold in strict confidence all proprietary, business, technical, and student information disclosed by the Organization or encountered in the performance of services, and shall not disclose or use such information except as required to perform assigned duties. This obligation shall survive termination of this Agreement.

Instructor acknowledges and agrees to the confidentiality obligations set forth in this document.

INTELLECTUAL PROPERTY

All course materials, assessments, training aids, and work product created specifically for and delivered to the Organization in the performance of services shall be the exclusive property of the Organization. Instructor may retain and use pre-existing materials provided the Instructor grants the Organization a perpetual, royalty-free license to use any pre-existing materials incorporated into course deliverables.

Instructor acknowledges the intellectual property provisions above.

INSURANCE AND INDEMNITY

The Instructor shall maintain at the Instructor's expense professional liability and general liability insurance with limits reasonably acceptable to the Organization and shall provide evidence of such insurance upon request. The Instructor shall indemnify and hold harmless the Organization from claims arising from the Instructor's negligent performance or willful misconduct.

Instructor shall provide a certificate of insurance upon request or prior to commencement of services.

COMPLIANCE, RECORDS AND EVALUATION

Instructor shall comply with all applicable laws, organizational policies, and safety requirements. The Organization may evaluate the Instructor's performance and require completion of feedback forms and training metrics reporting.

GOVERNING LAW; ENTIRE AGREEMENT; AMENDMENTS

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Organization without regard to choice of law principles. Any dispute arising under this Agreement shall be subject to the exclusive venue agreed by the parties.

This document constitutes the entire agreement between the Organization and the Instructor with respect to the subject matter herein and supersedes all prior agreements. Any amendment must be in writing and signed by both parties.
