Either party may terminate this agreement for convenience upon written notice of days. Termination for cause may occur immediately where the other party materially breaches any obligation and fails to cure within a reasonable period not to exceed 15 days following written notice. Refunds, if any, shall be pro rata for services not yet performed, less any non-refundable costs reasonably incurred by the Provider and any cancellation fees set forth in the payment schedule.

CONFIDENTIALITY

The parties acknowledge that during the course of training confidential or proprietary information may be disclosed. The receiving party shall (a) maintain such information in strict confidence; (b) not use confidential information except to perform obligations under this Agreement; and (c) return or destroy confidential materials upon written request. Confidential information does not include information that is publicly known, independently developed without reference to the disclosing party's materials, or required to be disclosed by law, provided the disclosing party is given prompt notice and the scope of disclosure is limited.

INTELLECTUAL PROPERTY AND MATERIALS

All training materials, curricula, assessments, and related intellectual property are and will remain the sole property of the Provider unless otherwise agreed in writing. The Provider grants the Learner a limited, non-transferable, non-exclusive license to use course materials solely for personal or internal professional development. The Learner shall not reproduce, distribute, or modify materials except with the Provider's prior written consent.

HEALTH, SAFETY, AND ACCESSIBILITY

ACKNOWLEDGMENTS AND CONSENTS

The Learner acknowledges and agrees to adhere to attendance, conduct, and assessment requirements established by the Provider. Failure to meet minimum attendance or assessment standards may result in withholding of certification.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement will be governed by the laws of the state of , without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in that jurisdiction.

Entire Agreement: This document, together with any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Amendments must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS
