Either party may terminate this agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. Termination for convenience by either party requires days' prior written notice.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic information disclosed by the other party in connection with this recertification, including assessment results, training materials, personal data of the trainee, and business methodologies ("Confidential Information"). Confidential Information shall not be disclosed except to employees or contractors with a need to know and who are bound by obligations of confidentiality at least as protective as those in this Agreement.

Confidentiality obligations do not extend to information that is or becomes publicly available through no fault of the receiving party, is already lawfully known to the receiving party without restriction, or is required to be disclosed by law or valid court order, provided the disclosing party is given prompt notice to seek protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of any disputes.

ENTIRE AGREEMENT

This form, together with any attachments and written exhibits signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations and understandings, whether written or oral. Any modification or waiver must be in writing and signed by authorized representatives of both parties.

ADDITIONAL REPRESENTATIONS & CERTIFICATIONS

The Training Provider certifies that all instructors and evaluators are qualified under applicable standards and that all assessments required for recertification will be conducted in accordance with the standards described in this form. The Trainee certifies that all information provided is true and that any prior disciplinary history affecting competency has been disclosed.

RECORDS AND RETENTION

The Training Provider will retain all assessment records, attendance logs, and supporting documentation related to this recertification for a period of years following the date of completion, and will make such records available to the Client upon reasonable request.

All notices required under this Agreement must be sent to the addresses set forth in this form and are effective upon receipt.
