WHEREAS

WHEREAS, the Training Provider operates a professional training program and possesses the facilities, instructors, curriculum, and materials necessary to deliver the training described in this letter; and

WHEREAS, the Participant desires to receive the training identified below subject to the terms, conditions, and payment obligations set forth herein; and

WHEREAS, the parties wish to set forth their agreement governing the delivery, payment, confidentiality, and other material terms related to such training.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days of written notice. Termination for convenience by the Training Provider or Participant requires days' prior written notice and any pro rata refund or outstanding fees will be handled as set forth in Payment Schedule.

CONFIDENTIALITY

Participant acknowledges that certain course materials, methods, assessments, and business information provided by the Training Provider are confidential and proprietary. Participant agrees to maintain the confidentiality of such information and not to reproduce, distribute, or disclose confidential materials except as expressly authorized in writing by the Training Provider. This obligation survives termination of this Agreement for a period of three (3) years.

Participant acknowledges and agrees to comply with the Confidentiality obligations stated above.

INTELLECTUAL PROPERTY

All materials, curricula, and training content developed or provided by the Training Provider remain the exclusive intellectual property of the Training Provider. Participant is granted a limited, non-transferable license to use course materials solely for personal or internal professional development as set forth in this Agreement. Participant may not modify, reproduce for resale, or publicly distribute materials without prior written consent.

REIMBURSEMENT AND EARLY TERMINATION

If Participant voluntarily withdraws or is terminated for cause prior to completion, Participant shall be responsible for fees for training delivered and any non‑refundable costs incurred by the Training Provider. If the Training Provider provided a tuition subsidy or employer-sponsored discount, Participant agrees to reimburse the subsidized amount on a prorated basis as follows:

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located in that State unless otherwise agreed in writing.

ENTIRE AGREEMENT

This document, together with any attachments and the Payment Schedule incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, representations, or agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.
