Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. Termination for convenience requires days' prior written notice.

Confidentiality

The parties acknowledge that training content, assessment results, personnel information and any materials designated as confidential constitute Confidential Information. Each party shall protect Confidential Information with the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information shall not be disclosed except to persons who have a need to know and who are bound by confidentiality obligations. This obligation survives termination of this Agreement for a period of two (2) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including the training record fields herein and any attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
