TRAINING SERVICES CONTRACT

This Training Services Contract ("Agreement") is entered into by and between Client Name: and Service Provider Name: with an Effective Date of .

WHEREAS

WHEREAS, Client desires to engage Provider to develop and deliver professional training services described herein, and Provider represents that it has the experience, personnel, and qualifications to provide such services in a competent and professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Provider will perform training services for Client, including scope, compensation, confidentiality, and termination rights.

SCOPE OF WORK

Provider will deliver training services including but not limited to curriculum development, instructional delivery, materials preparation, and participant assessment as further described below. Provider shall perform services in a professional manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Provider fees for the services and deliverables in accordance with this section. All fees are exclusive of taxes unless otherwise stated.

Late payments that remain unpaid beyond the due date shall accrue a late fee of and interest at the maximum rate permitted by law, or if less, at after days past invoice due date.

TERM AND TERMINATION

This Agreement commences on the Start Date of and, unless earlier terminated as provided herein, expires on the End Date of .

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may immediately terminate for material breach if the breach is not cured within days after written notice specifying the breach.

Upon termination, Client will pay Provider for all services performed and approved expenses incurred through the effective date of termination. Provider shall deliver all completed work and reasonable documentation for services performed up to termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Receiving Party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of unless otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any dispute arising from this Agreement shall be resolved in the state or federal courts located within that state.

MISCELLANEOUS

Independent Contractor. Provider is an independent contractor and not an employee, agent, or legal representative of Client. Provider is solely responsible for all taxes, withholdings, and other statutory obligations.

Assignment. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be binding unless made in writing and signed by authorized representatives of both parties.
