TRAINING SESSION AGREEMENT

Recitals

This Training Session Agreement (the "Agreement") is entered into as of the Effective Date below by and between Client Name: and Trainer Name: .

WHEREAS, Client desires to obtain professional training services concerning the subject matter described below; and

WHEREAS, Trainer represents that Trainer has the necessary experience, personnel and resources to provide such training services and agrees to provide the services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the training engagement.

Scope of Work

The Trainer will provide the following services, materials and deliverables during the training session. The description below identifies the subject matter, duration, delivery method and any learning objectives. Trainer will perform the services in a professional manner and in accordance with industry standards.

Payment Terms

Client agrees to pay Trainer the fees for services as set forth below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

All undisputed payments not received within the period specified above shall accrue interest at the rate specified in the Late Payment field. Client shall reimburse Trainer for reasonable collection costs, including attorneys' fees, for amounts not paid when due.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate for material breach if the breach remains uncured for a period of 15 days after written notice specifying the breach.

Upon termination, Client will pay Trainer for services performed and non-cancellable obligations incurred through the effective date of termination. Trainer shall deliver any completed deliverables to Client and invoice for outstanding fees.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is marked confidential or, by its nature, would reasonably be considered confidential. Confidential Information excludes information that (a) is or becomes public through no fault of the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided prompt notice is given to the Disclosing Party.

The Receiving Party shall (i) protect the Disclosing Party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (ii) use Confidential Information solely to perform obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Receiving Party acknowledges that a breach of confidentiality may cause irreparable harm for which monetary damages may be inadequate. Accordingly, Disclosing Party may seek injunctive relief in addition to any other remedies available at law or in equity.

Intellectual Property and Use of Materials

Trainer retains all right, title and interest in and to training materials, presentations, methodologies and intellectual property created or provided by Trainer in connection with the training session ("Trainer Materials"), except that Trainer grants Client a limited, non-exclusive, non-transferable license to use Trainer Materials solely for internal training and educational purposes for the term of this Agreement. Client shall not reproduce, distribute, or create derivative works from Trainer Materials except as expressly permitted in writing by Trainer.

Limitation of Liability

Except for liability arising from willful misconduct or breach of confidentiality, in no event shall either party be liable to the other for indirect, incidental, special or consequential damages, or for lost profits. The aggregate liability of either party for claims arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Trainer under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the selected state for the resolution of disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification of this Agreement will be valid unless in writing and signed by both parties.
