TRAINING SERVICES AGREEMENT & TRAINING SUMMARY REPORT

This Training Services Agreement and Training Summary Report (the Agreement) is entered into between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client requires training services to improve workforce capability, including but not limited to job-specific skills, compliance instruction, and professional development; and

WHEREAS, Provider represents that it has the personnel, materials, and expertise necessary to design, deliver, and evaluate the training described below; and

WHEREAS, the parties wish to memorialize the agreed scope of services, payment terms, reporting obligations and the summary of the training event(s) delivered under this Agreement.

TRAINING IDENTIFICATION

SCOPE OF WORK

Provider shall design, prepare, deliver, and evaluate the training described in this section in accordance with professional standards. Specific deliverables include curriculum materials, participant handouts, instructor-led or virtual delivery, assessments, and a written summary report.

PAYMENT TERMS

Client shall pay Provider the fees and reimburse authorized expenses as specified below. All fees are due in accordance with the payment schedule provided unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on the Effective Start Date and continues until completion of the services unless earlier terminated as provided herein.

Either party may terminate for cause if the other party materially breaches any obligation and fails to cure within the notice period. Termination by Client for convenience requires payment for services performed and non‑cancelable obligations.

CONFIDENTIALITY

Each party shall keep confidential all proprietary business, technical, personal, or other non-public information disclosed in connection with this Agreement and shall use such Confidential Information solely for performance under this Agreement. Confidential Information does not include information that is or becomes public through no fault of the receiving party, or that is independently developed or received from a third party without breach of any obligation.

Upon termination or at Client's request, Provider shall return or securely destroy all Confidential Information and materials of the Client in Provider's possession, subject to retention of records required by law or internal compliance procedures.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state identified above, without regard to principles of conflicts of law. Any dispute arising under or relating to this Agreement shall be resolved in the state or federal courts located in that state unless the parties agree otherwise in writing.

This Agreement, including all incorporated schedules and attachments and the Training Summary section herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior proposals, negotiations, and other communications, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.

The undersigned certify that they are authorized representatives of their respective parties, that the training summary accurately reflects the training provided and results obtained, and that all statements in this report are true and complete to the best of their knowledge.
