Training Waiver and Services Agreement

This Training Waiver and Services Agreement (the "Agreement") is made and entered into on Date: by and between Provider Name: ("Provider") and Participant Name: ("Participant").

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Provider may terminate immediately for cause if Participant breaches any material obligation, fails to pay fees, or engages in conduct that endangers others.

Waiver, Assumption of Risk and Release

Participant acknowledges that participation in the training involves inherent risks, including but not limited to physical injury, property damage, and other losses. Participant hereby voluntarily and knowingly assumes all such risks, whether known or unknown.

In consideration of being permitted to participate, Participant, on behalf of Participant and Participant's heirs, assigns, personal representatives, and next of kin, releases, waives, discharges, and covenants not to sue Provider, its officers, directors, employees, agents, contractors, and affiliates (collectively, the "Released Parties") for any and all liability for injury, death, or damage to person or property arising out of or related to Participant's participation in the training, except to the extent caused by the gross negligence or willful misconduct of the Released Parties.

Participant further agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Participant's breach of this Agreement, negligence, or willful misconduct.

Health, Safety and Special Needs

Confidentiality

Each party agrees that all non-public business, technical, and financial information disclosed by the other party and identified as confidential, whether disclosed before or after the Effective Date, shall be held in confidence and shall not be disclosed or used except as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was known by the receiving party prior to disclosure, or is required to be disclosed by law.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

This Agreement contains the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

By signing below, Participant certifies that Participant is physically able to participate in the training, has read and understands this Agreement, and knowingly and voluntarily accepts its terms and conditions.

Notices
