Seller represents and warrants that the goods and services described herein shall conform to the specifications set forth, be free from material defects in materials and workmanship at the time of delivery, and that Seller has clear title to the goods conveyed. The foregoing warranty is exclusive and is provided in lieu of all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose, except as expressly stated in writing.

Risk of loss and damage to goods shall pass to Buyer in accordance with the shipping terms selected above. Buyer shall inspect shipments promptly and shall notify Seller in writing of any alleged defects, shortages, or nonconformities within seven (7) calendar days of receipt; failure to provide timely notice shall constitute acceptance.

Default, Remedies & Limitation of Liability

If Buyer fails to pay any amount when due, Seller may suspend performance, accelerate all unpaid obligations, and pursue any remedy available at law or equity. In the event of default, the non-defaulting party shall be entitled to recover all reasonable costs of collection, including attorneys' fees and court costs.

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive or special damages, and aggregate liability for any claim shall not exceed the total amount paid or payable under this transaction.
