CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public information obtained from the other party in connection with this Agreement and shall not disclose such information except to its employees, agents or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is (a) already rightfully known by the receiving party without restriction, (b) becomes publicly known through no wrongful act of the receiving party, or (c) is lawfully obtained from a third party without restriction.

A receiving party may disclose Confidential Information if required by law or valid legal process, provided that, to the extent permitted, it promptly notifies the disclosing party and cooperates in any effort to seek protective measures.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Authorizing Party specifically represents and warrants that it is authorized to direct the transfer of the assets, funds or documents described and that the transfer will not violate any agreement, law or third-party right.

Authorizing Party shall defend, indemnify and hold harmless Receiving Party and its officers, directors and agents from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the Authorizing Party's breach of its representations, warranties or obligations under this Agreement or from any third-party claim related to the authorization or transfer.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.
