Each party agrees to indemnify, defend and hold harmless the other party and their respective directors, officers, employees and agents from and against any losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of this Transfer Direction, any inaccuracy in a representation or warranty, or any willful misconduct or negligence by the indemnifying party in connection with the transfer.

All notices under this Transfer Direction shall be in writing and delivered to the parties at the addresses set forth below (or at such other address as a party may designate by notice). Notices shall be deemed given upon personal delivery, two business days after deposit with a nationally recognized courier service, or three business days after deposit in the U.S. mail, postage prepaid.
