What a Transfer of Assets Resolution Is and When it's Used

A Transfer of Assets Resolution is a formal, written decision adopted by a board of directors, trustees, or other authorized governing body that approves the transfer, sale, or conveyance of company or trust property. The resolution documents the asset description, consideration, approving vote, and the specific authority delegated to officers or agents to execute documents and take steps necessary to complete the transfer. It creates an internal record of corporate action, demonstrates compliance with governing documents and statutes, and supports downstream steps like title transfer, recording, creditor notices, and financial reporting.

Why adopting a clear resolution matters

A written resolution provides legal clarity, creates an audit trail, and reduces risk by showing that authorized decision-makers approved the transfer. It documents delegated signing authority, protects officers acting in good faith, and supports compliance with tax and recording requirements under federal and state law, including ESIGN and UETA where electronic records are used.

Why adopting a clear resolution matters

Who typically prepares or signs this resolution

Typical preparers and signers vary by entity type and transaction complexity.

  • Corporate boards and board secretaries responsible for formal corporate actions and minute records.
  • Trustees and trust counsel handling transfers within trust administration or between trust entities.
  • CFOs, controllers, and corporate counsel who manage tax, accounting, and recording obligations.

The final authorization should match the entity’s bylaws and any state corporate law requirements.

Core elements to include in a professional resolution

A complete Transfer of Assets Resolution is concise but precise; include the context, authority, and execution steps so third parties can rely on the document.

Resolution Title

A concise heading naming the action, for example 'Resolution to Transfer Real Property Located at 123 Main Street,' to identify the subject and purpose clearly for records and reviewers.

Recitals

Brief background statements (recitals) that explain reasons for the transfer, applicable agreements, and legal or business context relevant to the approving body and third parties.

Asset Description

A specific description of the assets being transferred, including legal descriptions for real property, serial numbers for equipment, account numbers, or attachments that fully identify the property.

Consideration

State the agreed consideration, whether cash, promissory note, assumption of liabilities, or non-monetary exchange; avoid vague phrases such as 'fair value' without a defined standard.

Authority Delegated

Specify which officer(s) or agent(s) are authorized to execute agreements, deliver instruments, and take steps necessary to close the transfer, including any limits on authority.

Execution Details

Signature blocks with signer names, titles, dates, and any notarization or witness instructions required by statute or for recording the transfer.

Essential information to include

Company Name: Full legal entity name
Resolution Date: Board meeting or signature date
Asset Details: Clear legal/ID description
Consideration: Amount or terms specified
Authorized Signers: Names and official titles
Notary/Witness: If required, notarization details

Internal Approval Window:

1–14 business days depending on scheduling and notice requirements

Execution and Notarization:

County processing varies; allow 1–4 weeks for recording and indexing

Common mistakes to avoid when preparing the resolution

  • Using an informal memo instead of a formal resolution, which can undermine proof of authorization in disputes.
  • Failing to identify assets precisely, leading to ambiguous transfer scope and title problems for third parties.
  • Omitting delegated authority limits, which can create uncertainty about who may sign and bind the entity.
  • Skipping notarization or witness steps where required for recording, creating obstacles to deed acceptance.

Risks and potential consequences of errors

Unenforceable Transfer: May fail if approvals lacking
Fiduciary Breach: Directors or trustees may face liability
Tax Exposure: Incorrect reporting can trigger penalties
Title Defects: Ambiguous descriptions impede conveyance
Recording Rejection: Missing notarization or witnesses
Creditor Claims: Unnoticed liens can survive transfer

Board Chair

The board chair often signs or certifies resolutions on behalf of the board. When bylaws require, the corporate secretary may attest; check the bylaws and state corporate statute to confirm whether a certified resolution or minutes are required for third-party reliance.
