Missing Consideration: Tax reclassification risk
Undisclosed Liens: Buyer assumes unexpected debts
Late Filing: State recording fines apply
Backup Withholding: Backup withholding 24% possible
Intentional Misreporting: Severe penalties and civil exposure

Common Preparation Pitfalls to Avoid

  • Using nicknames or initials instead of full legal names leads to title rejections and misfiled tax reports, causing administrative delays and extra fees.
  • Providing an incomplete asset description, such as omitting parcel numbers or VINs, creates ambiguity that title examiners and buyers must resolve.
  • Failing to disclose existing liens or security interests can result in buyer exposure to debts and frustrated closings.
  • Skipping notarization or using improper witness counts in states that require them may invalidate recordings and complicate later transfers.

Who Is Authorized to Sign and Why It Matters

Transferor — Owner

The individual or entity transferring ownership must sign with corporate authorization if applicable. Corporations should attach board resolutions or officer certificates; LLCs need member or manager authorization. Accurate signer authority prevents title challenges and supports recording and tax reporting.

Transferee — Buyer

The recipient must sign acceptance where required and provide tax identification, contact details, and any escrow instructions. If acquisition is financed, lender acknowledgements or signature may be required to ensure lien priorities are addressed before recording.
