Either party may terminate this transfer request prior to the Effective Date by providing written notice to the other party. Transferee represents that it has the capacity and authority to accept the transfer on the terms set forth herein.

Each party shall maintain in strict confidence any non-public information exchanged in connection with this transfer and shall not disclose such information to any third party except to its employees, advisors or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidential information shall not include information that is or becomes publicly known other than by breach of this obligation.

GOVERNING LAW

This Transfer Request Form shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

ENTIRE AGREEMENT
