This Transition Week Planning Agreement (the Agreement) is made as of between the parties identified below.

Recitals

WHEREAS, Client requires structured planning and coordination for a one-week transition period to transfer duties, systems access, documentation, and responsibilities from outgoing resources to incoming resources; and

WHEREAS, Provider represents that it has the experience and personnel necessary to prepare a written transition plan, coordinate meetings, conduct knowledge-transfer sessions, and deliver transition deliverables as set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Scope of Work

Provider will prepare and execute a Transition Week Plan to accomplish the objectives set by Client. The plan shall include daily agendas, knowledge-transfer sessions, systems and access checklists, deliverables and acceptance criteria, and a final handover report. Provider's specific responsibilities include:

Client shall pay Provider for Transition Week planning and services in accordance with the amounts and schedule below.

Term and Termination

The term of this Agreement shall commence on and terminate on unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period above. Termination for convenience by either party requires the notice period and payment of fees for work already performed.

Confidentiality

Each party shall hold in strict confidence all proprietary or confidential information disclosed by the other party in connection with the transition. Provider shall use confidential information solely for the purposes of performing this Agreement and shall not disclose such information to third parties except to personnel who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Upon termination or completion, Provider shall return or securely destroy Client materials and certify deletion upon Client request.

Confidentiality obligations under this section shall survive termination of this Agreement for a period of three (3) years, except for trade secrets and personal data for which longer protection is required by law.

Intellectual Property and Deliverables

Client shall retain ownership of Client data and pre-existing materials. Provider grants to Client all rights and title to deliverables specifically prepared for Client under this Agreement upon full payment. Provider may retain non-identifiable methodologies and know-how. Provider warrants that deliverables will not infringe third-party intellectual property rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications. Any modification or amendment to this Agreement must be made in writing and signed by authorized representatives of both parties.
