TRANSITIONAL AGREEMENT

This Transitional Agreement ("Agreement") is entered into as of Effective Date: by and between Outgoing Party: with principal place of business at ("Outgoing Party"), and Incoming Party: with principal place of business at ("Incoming Party"). Each of Outgoing Party and Incoming Party may be referred to herein individually as a "Party" and collectively as the "Parties".

RECITALS

WHEREAS, Outgoing Party operates certain business operations, client relationships, records, proprietary materials, and personnel described in Schedule A attached hereto (the "Business Assets"); and

WHEREAS, Incoming Party desires to receive certain Business Assets and be transitioned into the ongoing operations in accordance with the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth their mutual obligations, the transition plan, and associated consideration during a defined transition period to avoid interruption of services to clients and protect confidential information and intellectual property.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, capitalized terms not otherwise defined shall have the meanings set forth herein. "Transition Period" means the period commencing on Transition Start Date: and ending on Transition End Date: unless earlier terminated in accordance with Section 11.

2. TRANSITION SERVICES

Outgoing Party shall provide reasonable transition services to Incoming Party as necessary to effect an orderly transfer of the Business Assets, including without limitation: training personnel, transferring client introductions, making records available for inspection, and providing reasonable post-transfer technical support. Such services shall be performed in good faith and with commercially reasonable efforts.

3. TRANSITION PLAN AND SCHEDULE

The Parties shall comply with the schedule and milestones set forth in the Transition Plan. Any significant deviation from the Transition Plan shall be documented in writing and signed by authorized representatives of both Parties as an amendment under Section 14.

4. CONSIDERATION; PAYMENT

As consideration for the transfer and the transition services, Incoming Party shall pay Outgoing Party a fee in the amount of USD in accordance with the following payment schedule and terms:

Outgoing Party shall provide Incoming Party with access to all client records and books reasonably necessary for the performance of services to clients. To the extent permitted by applicable law and client agreements, the Parties shall cooperate in effecting assignments or transfers of client contracts and client consent where required.

6. CONFIDENTIALITY

Each Party shall keep confidential and not disclose to any third party any Confidential Information of the other Party, except as necessary to perform the Transition Plan or as required by law. "Confidential Information" includes non-public business information, client lists, pricing, methodologies, trade secrets, and technical information. Confidential Information does not include information that is or becomes public through no breach of this Agreement.

7. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full corporate power and authority to enter into this Agreement and perform its obligations hereunder, that the execution and delivery of this Agreement have been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

8. INDEMNIFICATION

Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party and its officers, directors and employees (the "Indemnified Parties") from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of a material breach of this Agreement by the Indemnifying Party, negligent acts or willful misconduct, or third-party claims arising from representations and warranties made by the Indemnifying Party.

9. LIMITATION OF LIABILITY

Except for liability arising from fraud, willful misconduct, or a breach of confidentiality, in no event shall either Party be liable to the other for consequential, incidental, special or punitive damages. The Parties' aggregate liability for claims arising out of this Agreement shall be limited to amounts actually paid by Incoming Party to Outgoing Party under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

10. TERM; TERMINATION

This Agreement shall commence on the Effective Date and continue through the end of the Transition Period unless earlier terminated by mutual written agreement of the Parties or in accordance with this Section. Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured for thirty (30) days after written notice of such breach.

11. ASSIGNMENT

Neither Party may assign this Agreement or its rights hereunder without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets, provided the assignee assumes all obligations hereunder.

12. NOTICES

All notices, requests, consents and other communications to be given hereunder shall be in writing and delivered to the Parties at their respective addresses set forth below or at such other address as either Party may designate by notice to the other in accordance with this Section.

13. AMENDMENT; WAIVER

No amendment or modification of this Agreement shall be effective unless set forth in a written instrument signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right hereunder shall operate as a waiver of such right.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed to be original signatures.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

16. ENTIRE AGREEMENT

This Agreement, including any schedules and attachments referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

17. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.
