WHEREAS, Client seeks professional translation and related language services for documents and materials described below; and

WHEREAS, Provider represents that it has the expertise, personnel and resources to perform the requested translation services in accordance with the terms and conditions set forth in this agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Provider shall perform professional translation services as requested by Client. Services shall include translation, proofreading, and one round of client-requested revisions unless additional revision rounds are paid for separately.

All fees are exclusive of applicable taxes unless otherwise stated. Provider may suspend delivery of work if Client is delinquent in payment following the stated grace period. Client shall be responsible for any collection costs and reasonable attorneys' fees incurred to enforce payment.

Either party may terminate this agreement for material breach if the breaching party fails to cure the breach within days after receiving written notice. Client may terminate for convenience by providing days' prior written notice; in such case Client remains responsible for fees for work completed through the termination date.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this agreement, including source materials and translations (collectively, Confidential Information). Confidential Information shall not be disclosed to third parties except to employees, subcontractors or consultants who need access to perform this agreement and who are bound by confidentiality obligations at least as protective as those herein. The obligations of confidentiality do not extend to information that (a) is or becomes publicly known through no breach by the receiving party; (b) is independently developed by the receiving party without use of Confidential Information; or (c) is required to be disclosed by law, provided prompt notice is given to the disclosing party where lawful and practicable.

Provider shall implement reasonable measures to safeguard Client documents and may, at Client's written direction, execute a separate non-disclosure agreement signed by both parties.

Client Warranties and Responsibilities

Client warrants that it has the right to provide all source materials and that such materials do not infringe third-party rights. Client shall supply reference materials, glossaries, style guides, and subject-matter information reasonably necessary for accurate translation. Provider is not responsible for errors arising from incomplete or inaccurate source materials provided by Client.

Acceptance, Revisions and Liability

Client shall review delivered translations within days and may request reasonable revisions limited to accuracy and consistency. The number of complimentary revision rounds included: .

Provider's liability for direct damages arising from negligence or breach shall be limited to the fees paid by Client for the specific translation project. Under no circumstances shall either party be liable for incidental, consequential, special, or punitive damages.

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by Client at signature: , without regard to conflict of law principles.
