TRANSPORT AGREEMENT

Parties

This Transport Agreement (the "Agreement") is made effective as of between:

WHEREAS

WHEREAS, Shipper requires transportation and related services for goods described in this Agreement; and

WHEREAS, Carrier represents that it is duly licensed, insured, and qualified to provide such transportation services and agrees to perform the services in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Carrier shall provide transportation services consisting of the pickup, carriage, and delivery of cargo as described below and in any shipment orders attached or issued under this Agreement. Carrier shall perform all services in a professional manner consistent with industry standards and in compliance with applicable laws and regulations.

Payment Terms

Shipper shall pay Carrier for the services provided under this Agreement in accordance with the following terms:

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within fourteen (14) days after receipt of written notice. Termination shall be without prejudice to any rights or remedies accrued prior to termination.

Confidentiality

Each party acknowledges that during performance of this Agreement it may receive confidential or proprietary information of the other party. Except as required by law, each party shall keep such information confidential and shall not use or disclose it except to the extent necessary to perform its obligations under this Agreement.

Insurance and Indemnity

Carrier shall maintain at its expense commercial general liability, cargo, and automobile liability insurance in amounts sufficient for the services to be provided and shall name Shipper as an additional insured where required. Carrier shall indemnify, defend and hold harmless Shipper from and against all claims, liabilities, losses, damages, costs and expenses arising out of Carrier's negligent performance or willful misconduct.

Limitation of Liability

Except for loss or damage caused by Carrier's gross negligence or willful misconduct, Carrier's liability for loss, damage, or delay shall be limited to the lesser of the declared value of the cargo or per shipment.

Force Majeure

Neither party shall be liable for delays or failures to perform caused by events beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, governmental acts, or severe weather, provided that the affected party provides prompt written notice and uses commercially reasonable efforts to resume performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement; Amendments

This Agreement, together with any shipment orders or appendices executed pursuant hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment must be in writing and signed by authorized representatives of both parties.
