What the Transport Service Solutions Agreement Covers

A Transport Service Solutions Agreement is a written contract that defines the relationship between a carrier or service provider and a shipper or client for the movement of goods. It sets out scope of services, routing and delivery terms, pricing and payment schedules, liability and insurance obligations, performance standards, indemnities, confidentiality, and termination conditions. The agreement also normally includes exhibits for service level metrics, equipment specifications, and contact points. When executed correctly it clarifies operational expectations and allocates commercial and legal risk between the parties.

Why a Clear Agreement Matters for Transport Services

A well-drafted Transport Service Solutions Agreement reduces disputes, clarifies responsibilities, and limits exposure to loss. It also documents payment terms, insurance coverage, and remedies so both parties understand operational and financial obligations.

Why a Clear Agreement Matters for Transport Services

Who Typically Prepares and Signs This Agreement

The agreement is used by commercial shippers, logistics providers, carriers, brokers, and corporate legal or procurement teams when arranging freight or specialized transport services.

  • Shippers and procurement teams who manage freight purchasing and vendor selection.
  • Carriers and fleet managers responsible for operational execution and equipment compliance.
  • Legal, insurance, and compliance officers who review liability, indemnity, and regulatory clauses.

Smaller operators and individual contractors also use simplified versions; larger enterprises typically use detailed master agreements with exhibits and technical appendices.

Primary Signatory Roles

Carrier Manager

Operational lead authorized to accept carrier-level obligations, confirm insurance certificates, and coordinate schedules. Typically signs on behalf of the carrier after legal review and confirms compliance with safety and equipment requirements.

Shipper Counsel

Company attorney or procurement counsel who negotiates commercial terms, limits liability exposure, and confirms governing law and indemnity language. Their signature represents corporate acceptance of payment, audit, and confidentiality provisions.

Essential Clauses in a Professional Transport Service Solutions Agreement

A complete agreement groups operational, financial, risk allocation, and administrative clauses so responsibilities are explicit and enforceable.

Parties

Clearly identify full legal names and entity types for each party, including any doing-business-as names, jurisdictions of formation, and primary business addresses to avoid ambiguity in enforcement.

Scope of Services

Define permitted cargo types, routing responsibilities, pickup and delivery windows, special handling instructions, and any excluded services so performance obligations are measurable and auditable.

Rates & Payment

Specify pricing structure, currency, invoicing cadence, payment terms, late fees, and dispute resolution for charges including accessorials, detention, and fuel surcharges.

Liability & Insurance

State limits of liability, required insurance coverages and minimum limits, claim procedures, and which party bears responsibility for loss or damage to cargo.

Term & Termination

Set contract duration, renewal mechanics, and termination for convenience or cause, plus cure periods and post-termination obligations such as final accounting and return of property.

Confidentiality & Data

Protect commercial data, routing information, and customer lists; include data security expectations and any required notice procedures for breaches or subpoenas.
