TRANSPORTATION AGREEMENT

THIS TRANSPORTATION AGREEMENT ("Agreement") is entered into as of by and between Shipper Name: , located at ("Shipper"), and Carrier Name: , located at ("Carrier").

Recitals

WHEREAS, Shipper requires transportation and delivery services for certain goods and desires Carrier to provide such transportation on the terms and conditions set forth in this Agreement; and

WHEREAS, Carrier represents that it is duly licensed, insured and qualified to perform the transportation services described herein and agrees to transport Shipper's goods in accordance with applicable law and industry standards; and

WHEREAS, the parties intend by this Agreement to set forth the scope of services, compensation, and the respective obligations, liabilities and remedies of the parties.

Scope of Work

Carrier shall provide transportation services for goods tendered by Shipper as described below. Carrier shall transport goods in a timely, safe and commercially reasonable manner consistent with carriers of similar type and shall comply with all applicable laws and regulations.

Payment Terms

In consideration for the services rendered by Carrier, Shipper shall pay Carrier the amounts set forth below in accordance with the schedule specified. All charges shall be payable in U.S. Dollars unless otherwise agreed in writing.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period following written notification. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public business, operational, financial or technical information disclosed in connection with this Agreement. Each party shall: (a) use Confidential Information solely for performance under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years except for trade secrets, which shall be protected for as long as such information qualifies as a trade secret.

Liability, Insurance and Indemnity

Carrier shall maintain during the term of this Agreement commercial auto liability, cargo liability and general liability insurance in amounts customary in the industry and sufficient to cover loss or damage to cargo and third-party bodily injury or property damage. Carrier shall indemnify, defend and hold harmless Shipper from and against claims, liabilities, losses or damages arising out of Carrier's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Shipper's negligence or willful misconduct. The parties agree that any limitation of liability applicable under applicable law or pursuant to a bill of lading may be asserted to the extent permitted by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any schedules, rate confirmations or written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be effective unless reduced to writing and signed by authorized representatives of both parties.

Additional Provisions

Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
