TRANSPORTATION CONSENT AND SERVICE AGREEMENT

This Transportation Consent and Service Agreement ("Agreement") is entered into by and between Transport Provider Name: and Client Name: , effective as of .

WHEREAS

WHEREAS, the Transport Provider is duly authorized to provide passenger transportation services using vehicles owned or operated by the Provider and staffed by qualified drivers who meet applicable licensing and insurance requirements; and

WHEREAS, the Client requests that the Provider transport the Participant described below for the purposes and on the dates set forth herein, and the Provider is willing to provide such services subject to the terms and conditions of this Agreement; and

WHEREAS, the parties desire to document consent for transportation, allocation of payment obligations, and the parties' respective duties and protections in connection with the transportation services.

PARTICIPANT INFORMATION

SCOPE OF WORK

The Provider will perform transportation services as described below. Provider shall furnish drivers, vehicles, fuel, and necessary permits for the transportation described. The Provider shall maintain insurance consistent with applicable law and provide drivers who hold required licenses and qualifications.

PAYMENT TERMS

The Client shall pay the Provider the fees described below in exchange for transportation services. Payment obligations are independent of consent to transport and survive termination to the extent services have been performed.

TERM AND TERMINATION

The term of this Agreement commences on and expires on , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least days prior to the effective termination date. Termination for cause may occur immediately upon written notice if the other party materially breaches any obligation and fails to cure within a reasonable period if curable.

CONFIDENTIALITY

Each party shall maintain in confidence information obtained from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including medical information and emergency contact details. Confidential information shall not be disclosed except as required by law or to fulfill the services contemplated by this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, including any appendices or schedules hereto that are executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be binding unless in writing and signed by both parties.
